Acted as Canadian counsel to Square, Inc. in its acquisition of Dessa, a Toronto-based company building machine learning applications that address significant real-world challenges for all types of businesses.

Acted as Canadian counsel to Hostess Brands Inc. in its $425-million acquisition of Voortman Cookies Limited from Swander Pace Capital.

FCF Co. Ltd., 2020

Acted as Canadian counsel for FCF Co., Ltd. in its US$928-million acquisition of all the assets of Clover Leaf Foods and Bumble Bee Foods, North America's largest branded shelf-stable seafood companies, under a sale proceeding conducted under the Companies' Creditors Arrangement Act and the U.S. Bankruptcy Code.

Epic Games, Inc., 2020

Acted for Epic Games, Inc. in its investment in Toronto-based SideFX, the company behind the Houdini 3D animation software used in video game development as well as for visual effects in film productions.

Barrick Gold Corporation, 2019

Acted for Barrick Gold Corporation in its historic joint venture with Newmont Mining Corporation, which combined their respective mining operations, assets, reserves and talent in Nevada to create the world's largest gold complex.

Michelin Group, 2018

Acted for the Michelin Group in its acquisition of Camso Inc., one of the global leaders in the design, manufacturing and distribution of off-road tires, wheels, tracks and conveyer belts, for a purchase price of US$1.7 billion. Camso has facilities in more than 25 jurisdictions world-wide.

Acted for management of Recochem, Inc., a global leader in manufacturing, marketing and distributing aftermarket transportation and household fluids, in the acquisition of Recochem by an affiliate of H.I.G. Capital, a private equity investment firm from an affiliate of Swander Pace Capital.

TIO Networks Corp., 2017

Acted for the Special Committee of the board of directors of TIO Networks Corp., in connection with its $304-million acquisition by PayPal Holdings, Inc. TIO is a North American cloud-based multi-channel bill payment processing and receivables management company.

Alimentation Couche-Tard Inc., 2017

Acted as lead counsel for Alimentation Couche-Tard Inc. in (i) its acquisition, by way of merger, of the Texas-based gas-and-convenience-store chain CST Brands, Inc., valued at approximately US$4.4 billion; and (ii) its subsequent sale of a portion of CST Brands, Inc.'s Canadian assets to Parkland Fuel Corporation for approximately US$750 million, subject to adjustments. Louise Patry was responsible for all employment and labour issues such as the planning of the workforce integration, transfer of employment and management-retention issues.  

World Anti-Doping Agency, 2017

Acting for the World Anti-Doping Agency, a foundation initiated by the International Olympic Committee to promote, coordinate, and monitor the fight against drugs in sports, on a multitude on employment matters. These matters include international and domestic employment law issues such as hiring, dismissal and termination settlements, expatriate and non-expatriate agreements, discrimination, pay equity, occupational health and safety, human rights and more recently on the ever-changing regulations due to the global COVID-19.
