4 Davies Matters Among Law360’s Top 10 Business Decisions of 2024
The Davies litigation team continues to play the lead role in an outsized number of high-profile matters, with four of our recent cases ranking among the top six in Law360’s Top 10 Business Decisions of 2024.
In sixth position is Riot Platforms, Inc. v. Bitfarms Ltd. Last year, Davies acted for Riot Platforms Inc. in a rare instance in which a shareholder’s rights plan was challenged in Ontario in recent years. The province’s Capital Markets Tribunal seized the opportunity to establish a new framework for exercising its public interest jurisdiction in circumstances in which there is no established breach of Ontario securities law.
Cormark Securities Inc (Re) came in at fifth position. In another case before the Ontario Capital Markets Tribunal (CMT), the Ontario Securities Commission alleged an “illegal and abusive short selling scheme” involving various respondents. Davies acted in the matter for one of the respondents, Saline Investments Ltd., and in a rare victory in enforcement proceedings, the CMT found decisively that the respondents did “nothing wrong.”
In the fourth spot, Workman Optometry Professional Corporation V. Certas Home and Auto Insurance Company, Davies successfully defended Continental Casualty Company in a multi-billion-dollar national class action concerning business interruption coverage arising from the Covid-19 pandemic. This is a watershed case in Canadian insurance and commercial law that substantively addressed the requirement for plaintiffs to show “physical loss or damage to property” in property insurance claims related to COVID-19.
Finally, Aquino v Bondfield Construction Co; Scott v. Golden Oaks Enterprises Inc. is the #2 top business decision of 2024. Davies acted for the Insolvency Institute of Canada as an intervener before the Supreme Court of Canada for these two important commercial cases. The Court dismissed the appeals in both cases, setting precedent on the corporate attribution doctrine and the meaning of the undervalue transfer provisions in the Bankruptcy and Insolvency Act.
