Vance Street Capital LLC

Acted for Vance Street Capital LLC, a Los Angeles-based private equity firm, and its portfolio company R.S.T Instruments in the acquisition of Measurand Group, a leading designer and manufacturer of geotechnical instrumentation based in Fredericton, New Brunswick.

Aldo Group Inc.

Acted for Aldo Group Inc. in the sale to Sotramont Inc. of its interest in an industrial site located on Hodge Street in Ville Saint-Laurent, Québec, and the redevelopment, in a joint venture, of a substantial mixed-use commercial/residential project on the property.

New Look Vision Group Inc.

Acted for New Look Vision Group Inc. in its $120-million acquisition, by way of plan of arrangement, of Iris, le groupe visuel (1990) Inc., which has a network of 147 retail locations across Québec, British Columbia, Alberta, Ontario and New Brunswick. The purchase was financed through various arrangements, including an increase of New Look's senior secured term facility with its bank syndicate, a new junior unsecured debt facility and an equity private placement.

High-Net-Worth Family

Acted for a high-net-worth family on tax matters related to a reorganization of the family's corporate holdings.

Michael Rosenberg

Acted successfully for Michael Rosenberg before the Federal Court of Canada ("FCC") in an application for judicial review in regards to a demand letter sent by the Canada Revenue Agency ("CRA") pursuant to section 231.1 of the Income Tax Act. The application sought the enforcement of a settlement agreement entered into with the CRA at the conclusion of an extensive audit. The CRA argued that the settlement agreement should be repudiated as no agreement could bar the Minister of National Revenue ("Minister") from conducting another audit of previously audited taxation years. In quashing the demand letter, the FCC found that the settlement agreement was binding on the Minister and required the CRA to comply with the terms therein.

La Coop fédérée

Acted for La Coop fédérée in connection with the combination of its Sonic division with Groupe Filgo for the purpose of merging their energy products distribution activities and their service stations operations.
