Acted as lead tax counsel and Canadian transaction counsel to Apotex International Inc., a global pharmaceutical company that produces high-quality affordable medicine, in the sale of a 50% interest in Arrotex Pharmaceuticals (Australia) to DBG Health.

Apotex Pharmaceutical Holdings Inc.

Acted as lead transaction and tax counsel to Apotex Pharmaceutical Holdings Inc., a global pharmaceutical company that produces high-quality affordable medicine, in its sale to SK Capital Partners.

Lithium Royalty Corp

Acted for Lithium Royalty Corp. in its C$150-million initial public offering of common shares underwritten by a syndicate co-led by Canaccord Genuity Corp and Citigroup Global Markets Canada Inc.

Alaris Equity Partners

Acted for Alaris Equity Partners, in its US$546-million investment with Brookfield Special Investments, in Body Contour Centers LLC.

Partners Value Investments LP and Partners Value Investments Inc.

Acted for the special committees of Partners Value Investments LP and Partners Value Investments Inc. in a reorganization with Partners Limited, to be implemented by way of a court-approved plan of arrangement.

Beringer Capital

Acted for Beringer Capital in its acquisition (and related bank financing) of a majority stake in Dig Insights, a Canadian tech-enabled services company that delivers consumer insights and market research consulting, tools and solutions to leading brands across a range of sectors.

Fulcrum Capital Partners

Acted for Fulcrum Capital Partners in the sale of Kore Outdoor Inc. to Ironbridge Equity Partners.

Centerra Gold Inc.

Acted for the special committee of independent directors of Centerra Gold Inc. in connection with its evaluation of strategic alternatives following the imposition by the Kyrgyz Republic of external management over the Kumtor Mine in May 2021.

Morgan Stanley and Goldman Sachs

Acted as Canadian counsel to the underwriters, led by Morgan Stanley and Goldman Sachs, in the US$700-million cross-border initial public offering of Bausch + Lomb Corporation, a leading global eye health business.

Agnico Eagle Mines Limited

Acted for Agnico Eagle Mines Limited in its merger with Kirkland Lake Gold Ltd. to create a $30-billion combined company and the gold industry's highest-quality senior producer.

J.P. Morgan

Acted for J.P. Morgan on the US$503-million cross-border secondary offering of subordinate voting shares of GFL Environmental Inc.

Lithium Royalty Corp.

Acted for Lithium Royalty Corp. (LRC) in connection with its right to purchase a 60% interest in the Moblan mining project held by Guo Ao Lithium Ltd. for US$86.5 million, which right was assigned from LRC to Sayona Mining prior to closing.

Xplornet Communications Inc.

Acted for Xplornet Communications Inc., Canada's largest rural-focused broadband provider, in the refinancing of its credit facilities pursuant to which a US$995-million term loan and a C$160-million revolving credit facility were made available on a first-lien basis, and a US$200-million term loan was made available on a second-lien basis.

Beringer Capital

Acted for Beringer Capital in the formation of Beringer Capital Fund IV, a private equity fund focused on investments in the media, marketing services, commerce, data and technology sectors.

Arcline Investment Management

Acted as Canadian counsel to Fairbanks Morse Defense, a portfolio company of Arcline Investment Management, in its acquisition of Hunt Valve Company, Inc.

WeCommerce Holdings Ltd.

Acted for WeCommerce Holdings Ltd. in its acquisition of substantially all of the assets of Archetype Themes Inc., a leading designer and developer of premium Shopify themes, for an aggregate purchase price of up to US$32 million.

BofA Securities, J.P. Morgan and BMO Capital Markets

Acted for BofA Securities, J.P. Morgan and BMO Capital Markets in a $400-million offering by Intertape Polymer Group of senior unsecured notes.

TD Securities Inc. and Goldman Sachs Canada Inc.

Acted for a syndicate of underwriters led by TD Securities Inc. and Goldman Sachs Canada Inc., as joint bookrunners, on the C$402.5-million initial public offering of Softchoice Corporation, a leading technology solutions provider in North America.

BMO Capital Markets, RBC Capital Markets and Scotiabank

Acted for BMO Capital Markets, RBC Capital Markets and Scotiabank on the US$594-million cross-border secondary offering of subordinate voting shares of GFL Environmental Inc.

WeCommerce Holdings Ltd.

Acted for WeCommerce Holdings Ltd. in its up to US$110-million acquisition of substantially all of the assets of Stamped.io Pte. Ltd., a leading Software-as-a-Service (SaaS) platform that enables online merchants to implement and manage customer reviews and loyalty programs.

Serruya Private Equity

Acting for Serruya Private Equity in connection with the backstopped US$100-million equity investment in MedMen Enterprises Inc., a premier U.S. cannabis retailer.

TD Securities Inc. and Credit Suisse Securities (Canada), Inc.
