Acted for Rogers Sugar Inc. in its C$117.9-million equity offering, comprised of a C$57.5-million public offering and C$60.4-million concurrent non-brokered private placements to Fonds de solidarité des travailleurs du Québec (F.T.Q.) and Belkorp Industries Inc., the net proceeds of which will be used to fund a portion of its C$200-million sugar capacity expansion project. 

Mason Resources Inc.

Acted for Mason Graphite Inc. with the sale of the Lac Guéret Property, targeted for the development of graphite at the Uatnan Mining Project, to Nouveau Monde Graphite Inc. in consideration of 6,208,210 common shares of Nouveau Monde Graphite Inc. 

Sumanic Investments

Acted for Sumanic Investments, the controlling shareholder of Logistec Inc., in the $1.2-billion acquisition of Logistec by Blue Wolf Capital Partners. 

Ember Infrastructure Management, LP

Acted for funds managed by Ember Infrastructure Management, LP, a New York-based private equity firm, in its $395-million acquisition of H2O Innovation Inc., a TSX-listed company, by way of statutory plan of arrangement under the Canada Business Corporations Act, and the associated rollover of shares by Investissement Québec, Caisse de dépôt et placement du Québec and management.

IOU Financial Inc.

Acted for IOU Financial Inc., a fintech company listed on the TSX-V, in its sale to 9494-3677 Québec Inc., a corporation created by a group composed of funds managed by Neuberger Berman, Palos Capital and Fintech Ventures, for an all-cash consideration.

BELLUS Health Inc.

Acted for BELLUS Health Inc. in its US$2-billion sale to GSK plc, a British-based pharmaceutical company.

Black Swan Graphene Inc.

Acted for Black Swan Graphene Inc., which produces patented low-cost and high-performance graphene powders, in its strategic partnership with Nationwide Engineering Research and Development Ltd, the developer of a graphene-enhanced admixture for concrete, Concretene.

Mason Graphite Inc.

Acted for Mason Graphite Inc. with its entering into an option and joint venture agreement with Nouveau Monde Graphite Inc. for the development of the Lac Guéret graphite project and Nouveau Monde’s concurrent strategic private placement in common shares of Mason Graphite; and Mason Graphite’s change of business from a Tier 2 mining issuer to a Tier 2 investment issuer, pursuant to the policies of the TSX Venture Exchange.

BELLUS Health Inc.

Acted for BELLUS Health Inc. in its US$176-million public offering (including the full exercise of the over-allotment option by the underwriters) in Canada and in the United States.

Triptyq Capital Fund I, L.P.

Acted for Triptyq Capital Fund I, L.P. in connection with the first closing of its fund, thereby concluding a fundraising of $40 million. The fund's objective is to invest at the seed stage of innovative companies in the creative technologies and entertainment 4.0 sector, mainly in Québec.

W Investments Group Inc.

Acted for W Investments in connection with the final closing of its second fund, W Investments Group II L.P., thereby concluding a fundraising of $150 million, including $125 million from private investors and Québec entrepreneurs. The fund acquires minority positions in both technology and traditional companies and invests in real estate developments.

Cominar REIT

Acted for Cominar REIT, one of Canada's largest diversified real estate investment trusts and the largest commercial property owner in Québec, in its C$5.7-billion sale to Iris Acquisition II LP, which is an entity created by a consortium led by Canderel Real Estate Property Inc., one of Canada's largest privately held real estate companies.

Cadillac Fairview Corporation Limited

Acted for Cadillac Fairview and its affiliated entities in its joint venture with TD Greystone Asset Management relating to CF Carrefour Laval, the largest enclosed shopping centre in the Greater Montréal Area, including approximately 1,200,000 square feet of retail space.

BELLUS Health Inc.

Acted for BELLUS Health Inc. in its US$200-million public offering in Canada and the United States.

Fonds de solidarité des travailleurs du Québec and Investissement Québec

Acted for Fonds de solidarité des travailleurs du Québec (F.T.Q.) and Investissement Québec as private placement subscribers in mdf commerce inc.'s private placement of $52.6 million in subscription receipts in the context of mdf's acquisition of Periscope Intermediate Corporation for a purchase price of approximately US$207.3 million.

Canadian Net Real Estate Investment Trust

Acted for Canadian Net Real Estate Investment Trust in its $20-million public offering, after full exercise of the underwriters' over-allotment option.

Novacap and Caisse de dépôt et placement du Québec

Acted for various funds managed by Novacap Management Inc. and for Caisse de dépôt et placement du Québec, as selling shareholders, in connection with the US$500-million bought deal secondary offering of Nuvei Corporation.

New Look Vision Group Inc.

Acted for New Look Vision Group Inc. in its $800-million sale to NL1 AcquireCo Inc., an entity created by funds managed by FFL Partners, LLC, a San Francisco-based private equity firm, Caisse de dépôt et placement du Québec and the Dr. H. Doug Barnes Family.

Alimentation Couche-Tard Inc.

Acted for Alimentation Couche-Tard Inc. in connection with its U.S. private offerings of (i) US$650-million principal amount of senior unsecured notes due in 2041; and (ii) US$350-million principal amount of senior unsecured notes due in 2051 (Green Bonds).

Novacap and Caisse de dépôt et placement du Québec

Acted for various funds managed by Novacap Management Inc. and for Caisse de dépôt et placement du Québec, as selling shareholders, in connection with the US$552-million bought deal secondary offering of Nuvei Corporation (including the partial exercise of the over-allotment option granted to the underwriters).

Acted for a syndicate of underwriters, co-led by Desjardins Securities Inc. and RBC Dominion Securities Inc., in connection with Goodfood Market Corp.'s $60-million bought deal public offering of common shares.

Acted for National Bank Financial Inc. and a syndicate of underwriters in a $650-million offering of Videotron Ltd.'s 3.125% senior notes due January 15, 2031.

Acted for a syndicate of underwriters co-led by Stifel Nicolaus Canada Inc., Desjardins Securities Inc. and Echelon Wealth Partners Inc. in mdf commerce inc.'s $47.8-million bought deal public offering of common shares including the full exercise of the over-allotment option by the underwriters.

Ivanhoé Cambridge Inc.

Acted for the partnership between Ivanhoé Cambridge Inc. and Douville, Moffet & Associés inc. in its sale to Centurion Apartment REIT of the partnership's indirect interest in Quartier QB, a 684-unit, multi-residential high-end property located in the Cité-Universitaire district of Québec City.

SEMAFO Inc.

Acted as counsel to SEMAFO Inc. in its US$2.1-billion business combination with Endeavour Mining Corporation by way of plan of arrangement under the Business Corporations Act (Québec).

Kesmat Investments Inc. and Mirlaw Investments Ltd.

Acted for Kesmat Investments Inc. and Mirlaw Investments Ltd. in their sale of a portfolio of eight industrial properties located in the greater Montréal area.

Acted for Québecor Inc. in connection with its proposed acquisition of Cirque du Soleil and related insolvency proceedings.

GMP Securities L.P.

Acted for a syndicate of underwriters led by GMP Securities L.P. and including Haywood Securities Inc., Canaccord Genuity Corp., Desjardins Securities Inc. and Echelon Wealth Partners Inc. in the marketed public offering of 3,077,902 common shares of VOTI Detection Inc., for gross proceeds to the corporation of approximately $5.4 million.

Alimentation Couche-Tard Inc.

Acted for Alimentation Couche-Tard Inc. (ACT) in its strategic investment in Fire & Flower Holdings Corp., a leading independent cannabis retailer based in Edmonton, Alberta, to (i) purchase $25,989,985.42 principal amount of 8% convertible unsecured debentures and (ii) be issued three series of share purchase warrants, which, if exercised in full, would subsequently increase ACT's ownership interest to 50.1% on a fully diluted basis.

Fronsac Real Estate Investment Trust

Acted for Fronsac Real Estate Investment Trust in its issuance by way of private placement of (i) 14,869,091 units at a price of $0.55 per unit and (ii) $1,732,000 in principal amount of 6% convertible unsecured subordinated debentures due May 16, 2024, for aggregate gross proceeds of $9,910,000.

Ivanhoé Cambridge Inc. and Canadian Pension Plan Investment Board

Acted for Ivanhoé Cambridge and Canada Pension Plan Investment Board in the sale of Carrefour de l'Estrie, one of the largest shopping centres in Québec, to an affiliate of Groupe Mach.

Minto Apartment Real Estate Investment Trust

Acted for Minto Apartment Real Estate Investment Trust (REIT) in the $268-million acquisition from Rockhill Apartments Inc. of a multi-residential rental property comprising 1,004 suites in Montréal, Québec. The REIT, which co-acquired the property with Investors Real Property Fund, is the asset and property manager for the co-tenancy and is earning fees for these services.

Alimentation Couche-Tard Inc.

Acted for MC Cannabis Inc., an affiliate of Alimentation Couche-Tard Inc., in connection with agreements with one of the winners of the Alcohol and Gaming Commission of Ontario's Expression of Interest Application Lottery conducted on January 11, 2019, which will operate a "Tweed-branded" retail store in the city of London, Ontario.

Alimentation Couche-Tard Inc.

Acted for MC Cannabis Inc., an affiliate of Alimentation Couche-Tard Inc., in connection with the negotiation and structuring of a multi-year agreement with Tweed Franchise Inc., an affiliate of Canopy Growth Corporation, to launch Tweed-branded cannabis retail stores in Ontario.

Les Propriétés Atwater Inc.

Acted for Les Propriétés Atwater Inc. in its joint venture with Société Immobilière Bourgie Inc. for the acquisition of a multi-residential building in Montréal.
