Davies acted for New York-based Engine Capital LP in connection with its successful proxy contest at Dye & Durham Limited (TSX: DND), a global provider of legal software and technology solutions. The campaign led to the complete reconstitution of DND’s board of directors and the resignation of the incumbent CEO.
This major shakeup occurred after a nine-month campaign which culminated in the resignation of DND’s entire board of directors just prior to DND’s 2024 annual shareholder meeting, clearing the way for the election of Engine Capital’s entire six-director slate.
Multiple media outlets, including the Globe and Mail (subscription required), Diligent (subscription required), The Deal (subscription required), Law360 (subscription required), MarketWatch and Bloomberg Law, reported on Engine Capital’s decisive victory.
The Davies team advising Engine Capital included Patricia Olasker, Aaron Atkinson, Ghaith Sibai and Matthew Auvinen (Shareholder Activism), and Derek Ricci (Litigation).
