Canadian Law Awards and Benchmark Litigation Canada Awards Recognize Davies

Davies is honoured to be recognized at the 2023 Canadian Law Awards in the categories: Commercial Litigation Team of the Year, Insolvency and Restructuring Deal of the Year, Infrastructure and Projects Deal of the Year and Capital Markets Deal of the Year.

These awards are a reflection of the trust our clients place in us to advise on and act in their most complex and transformative matters.

  • Commissioner of Competition v. Rogers Communications, Inc. and Shaw Communications, Inc.: Commercial Litigation Team of the Year. We acted for Shaw Communications Inc. in a landmark, closely watched trial before the Competition Tribunal and on appeal to the Federal Court of Appeal. Shaw prevailed throughout both cases. The litigation concerned a challenge by the Competition Bureau to the company’s C$26-billion merger involving Rogers Communications Inc. and Québecor Inc. This was by far the largest merger to be contested in proceedings before the Competition Tribunal and Court of Appeal. It was also the first challenge to a pending, uncompleted merger and the fastest merger challenge litigated at trial and on appeal in Canadian history. The honour was shared with our co-counsel for Rogers and Québecor Inc.
  • Aldo Cross-border Restructuring: Insolvency and Restructuring Deal of the Year. We acted for The Aldo Group Inc. to complete this multijurisdictional (United States, Switzerland, France, England, Ireland and others) cross-border restructuring under the Companies’ Creditors Arrangement Act. Applying novel legal techniques, the case set precedent in Canadian insolvencies involving U.S. and worldwide creditors and issues.
  • GO Transit Corridor Expansion Project: Infrastructure and Projects Deal of the Year. We acted as counsel to the civil construction joint venture formed by Aecon Infrastructure Management Inc. and FCC Construction Canada in this C$13.5-billion design, build, operation and maintenance project, the largest capital infrastructure project in Ontario’s (Metrolinx’s) GO Rail Expansion program.
  • Rogers Communications’ Largest Corporate Bond Offerings in Market History to Finance Shaw Communications Acquisition: Capital Markets Deal of the Year. We acted as counsel for Rogers in its Canadian private placement of C$4.25-billion of senior notes (the largest-ever Canadian dollar issuance by a corporate issuer in Canadian market history) and as Canadian counsel for Rogers in its U.S. private placement of US$7.05-billion senior notes (the largest-ever U.S. dollar issuance by a Canadian corporate issuer in U.S. market history). Davies also acted for Rogers in its consent solicitations to extend the outside date (for closing the Shaw acquisition) specified by those bonds. The Canadian consent solicitation involved a number of firsts and was the most significant in Canadian market history.

The case of Commissioner of Competition v. Rogers Communications, Inc. and Shaw Communications, Inc. was also recognized as an Impact Case of the Year at the 2023 Benchmark Litigation Canada Awards.
