Acted for Birch Hill Equity Partners in connection with its acquisition of a majority stake in Cozzini Bros., an Illinois-based knife sharpening rental and exchange company.
Acted for Amcor Limited in connection with its acquisition of Alusa, the largest flexible packaging business in South America, with operations in Chile, Argentina, Peru and Colombia.
Acted for Public Sector Pension Investment Board in connection with the acquisition by way of a joint venture with Henley Holding Company, a wholly-owned subsidiary of the Abu Dhabi Investment Authority, of a 58 million square foot portfolio of core industrial properties held by investment funds owned and managed by Exeter Property Group for US $3.15 billion.
Acted for Birch Hill Equity Partners and Sleep Country Canada in connection with the $300-million initial public offering of common shares of Sleep Country Canada Holdings Inc. and in connection with a new $175-million senior secured credit facility. The proceeds of the initial public offering were used to acquire Sleep Country Canada Inc.
Acted for Gaz Métro inc. in connection with its private placement of US$100 million aggregate principal amount of 3.22% senior secured notes due 2024 to certain institutional investors in the United States.
Acted for Xplornet Communications Inc. in connection with its private offering of debt and equity securities for aggregate proceeds of $148 million.
Acted for the Canada Pension Plan Investment Board in its acquisition of a 36.9% interest in the Mayflower partnership for a total equity investment of US$350 million. The Mayflower partnership owns a portfolio of 13 regional malls located in the United States, which has a total value of approximately US$2.03 billion.
