A leading capital markets and M&A lawyer, Shawn has served as lead counsel to issuers and underwriters, advising on many of Canada’s most significant public and private financings. Bringing his broad perspective to both hostile and negotiated mergers and acquisitions, he has acted for acquirers, targets, controlling shareholders and committees of independent directors. Senior executives and institutional investors regularly turned to Shawn for advice on their corporate governance matters. Shawn served as a member of our Management Committee for 16 years and was Managing Partner in Toronto from 2010 to 2020. He is a former lecturer in securities regulation at McGill University and Osgoode Hall Law School. Among other aspects of his community involvement, Shawn serves on the board of directors of the St. Michael’s Hospital Foundation in Toronto.

Acting for a syndicate of underwriters led by J.P. Morgan, BMO Capital Markets, Goldman Sachs & Co. LLC, RBC Capital Markets and Scotiabank on the US$2.2-billion cross-border initial public offering of subordinate voting shares and tangible equity units of GFL Environmental Inc., the fourth largest diversified environmental services company in North America. The offering is one of the largest IPOs in Canadian history.

BMO Capital Markets, Credit Suisse Securities Canada and Scotiabank

Acted for a syndicate of underwriters BMO Capital Markets, Credit Suisse Securities Canada and Scotiabank in connection with Centerra Gold Inc.'s $195-million public offering of subscription receipts. The proceeds of the offering were used to partially finance Centerra's $1.1 billion purchase of Thompson Creek Metals Company Inc.

RBC Dominion Securities Inc. and CIBC World Markets Inc.

Acted for a syndicate of agents led by RBC Dominion Securities Inc. and CIBC World Markets Inc. in connection with the initial public offering of Energy Credit Opportunities Income Fund, a closed-end investment fund which is managed by Purpose Investments Inc.

Rothschild Inc.

Acted for Rothschild Inc., the financial advisor to MEGA Brands Inc. in connection with Mattel, Inc.'s US$460-million acquisition of MEGA Brands Inc.

ING Groep N.V.

Acted as Canadian counsel to ING Groep N.V. in the transfer of a portion of the business of the Canadian branch of its subsidiary, ReliaStar Life Insurance Company, to Reinsurance Group of America, Incorporated.
