Acted for Ontario Transit Group, a consortium led by Ferrovial and Vinci, on its bid for the design, build and financing of the Ontario Line Southern Civil, Stations and Tunnel project. The Southern Civil project is one of three PPP contracts to deliver the Ontario Line.

Acted as Canadian financing counsel to Enerflex Ltd. in establishing a US$700-million revolving credit facility, a US$150-million term loan and a US$925-million bridge credit facility for its US$735-million business combination with Exterran Corporation to create a premier integrated global provider of energy infrastructure.

Acted for the Plenary-led consortium, Connect 6ix, consisting of Plenary Americas, Astaldi Group, Hitach, WeBuild and Transdev, with its bid to design, build, finance, operate and maintain the Ontario Line - Rolling Stock, System, Operations and Maintenance (RSSOM) project. The RSSOM project is one of three P3 contracts to deliver the Ontario Line.

Acted for EAS Energy Partners (a consortium comprising Enwave, AECOM and Saunders Concessions), which have entered into a concession agreement with the National Western Center Authority for the construction, financing, operation and maintenance of a campus energy program for the National Western Center in Denver.

Plenary Group, 2020

Acted for Plenary Group in the acquisition of a portfolio of Ontario-based hospitals and long-term care facilities from OMERS Infrastructure. The portfolio included three hospitals (Niagara Health System-St. Catharine's Hospital, the Royal Ottawa Hospital, the William Osler Health Centre) and 12 long-term care facilities that were constructed by OMERS, then Borealis Infrastructure, through separate greenfield developments between 2000 and 2009.

Acted for Hydrostor Inc., a developer of Advanced Compressed Air Energy Storage (A-CAES) projects, in securing a US$37-million growth financing to advance their global pipeline of utility-scale energy storage projects, including equity, debt, an asset acquisition, cash commitments, a project development partnership with Meridiam, a global infrastructure developer, and a strategic technology partnership with Baker Hughes, a GE Company.

CBHP Limited Partnership, 2019

Acted for CBHP Limited Partnership in its approximately $750-million contract to design, build, finance and maintain the Corner Brook Acute Care Hospital Project in Corner Brook, Newfoundland. The new facility will be attached to the Corner Brook Long Term Care Hospital and will be seven storeys, 600,000 square feet and have 164 beds. Over the course of construction, which is expected to be completed in 2023, the Government of Newfoundland and Labrador said it expects an estimated 4,000 person years of employment and $460 million in GDP to be created.

Innovate Energy, 2019

Acted for Innovate Energy, a consortium consisting of ENGIE Services Canada, PCL Constructors Canada, PCL Investments Canada and Black & McDonald, in its contract to modernize, maintain and operate the district energy system that heats 80 buildings and cools 67 buildings, including the Parliament buildings, in Canada's capital region. This mandate is part of the Government of Canada's Energy Services Acquisition Program and it will contribute to the Government's goal to reduce its energy consumption and greenhouse gas emissions from its own operations by 40% by 2030.

Acted for Alstom Transport Canada Inc. in its role as maintenance subcontractor for the light rail extension to the Confederation Line, which is the first stage of the new light rail transit system in Ottawa, Ontario.

Plenary PCL Properties Gatineau, 2019

Acted for Plenary PCL Properties Gatineau on the closing of its contract to design, build, finance, maintain and operate a new preservation facility in Gatineau, Québec. The new preservation facility has a construction cost of approximately $330 million, and is the first "net-zero carbon" facility dedicated to archival preservation in the Americas as well as the first federal building constructed to the requirements of Canada's Greening Government Strategy.

Acted for Fortis Inc. and its subsidiary FortisOntario Inc. in connection with Ontario's largest First-Nations-led transmission project being undertaken by Wataynikaneyap Power LP, a partnership between 24 First Nations and private investors led by Fortis. Acted for PSP Investments in its acquisition of a 49% Class B interest in the Stillwater Wind Project, an 80 MW operating wind energy project located in Stillwater County, Montana.

LA Gateway Partners, 2018

Acted for LA Gateway Partners in its approximately US$2-billion contract to design, build, finance, operate and maintain the Los Angeles International Airport (LAX) Consolidated Rent-A-Car Facility (ConRAC) development project. The development of the new facility will consolidate the operations of rental car agencies at LAX, which are currently spread across 23 separate properties surrounding the airport. Comprising 5.3 million square feet, the LAX ConRAC will be the largest ConRAC facility ever built.

Plenary Justice Abbotsford Limited Partnership, 2018

Acted for Plenary Justice Abbotsford Limited Partnership in its approximately $150-million contract to design, build, finance and maintain the Abbotsford Law Courts project in Abbotsford, British Columbia. The new 14-room courthouse will include Provincial Court and Supreme Court courtrooms, as well as judicial conference rooms and space for all necessary justice partners. The courthouse is British Columbia's first new courthouse in 20 years.

Acted for Fengate Capital Management in its acquisition of the Heartland Petrochemical Complex's Central Utility Block (CUB) cogeneration facility from Inter Pipeline Ltd. and the project financing for the development, construction and operation of the CUB.

Axium Infrastructure Inc. and The Manufacturers Life Insurance Company, 2018

Acted for (i) Axium Infrastructure Inc. and The Manufacturers Life Insurance Company in their joint $922-million acquisition from AltaGas Ltd. of a 35% interest in three hydroelectric projects in northwest British Columbia: the 195 MW Forrest Kerr Hydroelectric Facility, the 66 MW McLymont Creek Hydroelectric Facility and the 16 MW Volcano Creek Hydroelectric Facility; and (ii) Northwestern Hydro Acquisition Inc. (NWHA), the special purpose acquisition vehicle formed to complete the acquisition, in a subsequent $650 million senior secured bond financing and related letter of credit facility.

Acted for EllisDon Infrastructure STV RER Inc. in its successful $254.5-million contract to design, build and finance the Stouffville Corridor Stations Improvement Project, in support of the Province of Ontario's GO Regional Express Rail (RER) program. The project includes upgrades to tracks, platforms, new pedestrian connections and amenities at the Milken, Agincourt and Unionville GO stations along the Stouffville Corridor.

Alstom Transport Canada Inc., 2018

Acting for Alstom Transport Canada Inc. in its role as lead member of a consortium that is providing rolling stock, signalling services and operation and maintenance services, as part of the construction and operation of a new automated light rail transit system in the Greater Montréal Area. This $6.3-billion infrastructure project (its original estimated cost) is the largest public transit project undertaken in the province of Québec in the last 50 years.

Plenary Health Phase 1C LP, 2017

Acted for Plenary Health Phase 1C LP in its approximately $685-million fixed-price contract to design, build, finance and maintain the Centre for Addiction and Mental Health (CAMH) Phase 1C redevelopment project in Toronto, Ontario. The redevelopment project will see the construction of approximately 655,000 square feet of new build space contained in two modern buildings along Queen Street West in Toronto. The project is expected to achieve a Leadership in Energy and Environmental Design (LEED) Gold certification for design excellence and sustainability.

CBCP Limited Partnership, 2017

Acted for CBCP Limited Partnership in its approximately $120-million contract to design, build, finance and maintain the Corner Brook Long Term Care project in Corner Brook, Newfoundland. The new facility will include approximately 150 long-term care, palliative and rehabilitative care beds and is expected to commence operations in the spring of 2020. This project is the first significant PPP project to reach commercial close in the Province of Newfoundland and Labrador.

Blue Property Holdings L.P., 2017

Acted for The Cadillac Fairview Corporation Limited with respect to the establishment of a joint venture by a consortium comprising The Cadillac Fairview Corporation Limited, Canderel and Club de hockey Canadien. Davies is representing the joint venture in the development of Tour des Canadiens 3, a new 55-storey residential condominium building to be located across from the Bell Centre in the heart of downtown Montréal, and in the establishment of its co-ownership with Tour des Canadiens 2.

Alstom Transport Canada Inc., 2017

Acted for Alstom Transport Canada Inc. in connection with the supply of light rail vehicles for the Greater Toronto and Hamilton Area, to Metrolinx, an agency of the Government of Ontario, for a value of $529 million.

Acciona-Led Consortium, 2017

Acted as transaction counsel for a consortium comprised of Acciona Agua S.A., Acciona Agua Internacional, S.L. and Acciona Infrastructure Canada Inc., in its winning bid of $525 million for the design, build and finance of the Lions Gate Wastewater Treatment Plant project. Davies acted as lead transaction counsel for the consortium, including in the negotiation of the project documents with the Greater Vancouver Sewerage & Drainage District, the design-build documentation with the design-build contractor and the financing agreements with the lenders.
