Acted for funds managed by Ember Infrastructure Management, LP, a New York-based private equity firm, in its due diligence and acquisition of H2O Innovation Inc., a water solutions company which provides speciality chemicals, consumables, technology and engineering expertise to municipal and industrial water, wastewater and water reuse customers.

Atlas Holdings, 2023

Acting for Atlas Holdings in its acquisition of West Fraser Timber Co. Ltd.'s Quesnel River pulp mill in British Columbia and Slave Lake pulp mill in Alberta, addressing issues including Indigenous consultation, energy matters, landfill management and fibre access.

Agnico Eagle Mines Limited, 2022

Acted for Agnico Eagle Mines Limited in its acquisition of a 35% interest in Green Star Royalties Ltd., a company focused on the origination of carbon sequestration projects and other green technology opportunities. In connection with its investment, Agnico was granted certain investor rights, including representation on Green Star's board and an ability to co-invest alongside Green Star in its future projects and investments.

Henvey Inlet Wind LP, 2022

Advised Henvey Inlet Wind on the development of the regulatory framework for the largest First Nation wind partnership project in Canada on the lands of Henvey Inlet First Nation. We worked closely with Henvey Inlet Wind, First Nations and Environment Canada to develop the first environmental assessment and enforcement regime under the federal First Nations Land Management Act on three First Nations reserves. Key permitting issues included species at risk (and the negotiation of the first federal species at risk permit for a wind project, including complex offsetting commitments). We continue to work closely with Henvey Inlet First Nation on operational compliance matters, including species at risk.

Ceská zbrojovka Defense SE, 2021

Acted as Canadian counsel for Ceská zbrojovka Group SE (CZG), a firearms manufacturer based in the Czech Republic, in its acquisition of 100% of the outstanding equity interest in Colt Holding Company LLC, the parent company of the storied U.S. firearms manufacturer Colt's Manufacturing Company LLC, as well as its Canadian subsidiary, Colt Canada Corporation.

Premium Brands Holdings Corporation, 2021

Acted for Premium Brands Holdings Corporation in its groundbreaking partnership with a coalition of Mi'kmaq First Nations to jointly acquire Clearwater Seafoods Incorporated, Atlantic Canada's largest wild seafood company, for approximately $1 billion.

The Manufacturers Life Insurance Company, 2020

Acted for The Manufacturers Life Insurance Company in the C$92.8 million non-recourse construction and term project financing for the Innavik Hydro Project, a 7.5 MW run-of-river hydroelectric facility being developed on the Innuksuac River in northern Québec by the first ever partnership between an Inuit corporation, which was formed under the James Bay and Northern Québec Agreement, and a leading independent power producer.

Kildair Service ULC, 2020

Acting for Kildair Service ULC, a distributor of heavy fuel oil (among other things), before the Québec Superior Court in a multi-million dollar dispute involving the proper interpretation of a number of statutes and regulations related to the contributions payable to the Energy Transition Regime and the Green Fund.

Acted on environmental matters in Hostess Brands, Inc.'s acquisition of Voortman Cookies Limited. Issues included allocation of liabilities related to past manufacturing operations.

Resolute FP Canada Inc., 2019

Acted for Resolute FP Canada Inc. in the sale of its former pulp and paper mill in Fort Frances, Ontario. Advised on transfer arrangements for permits and financial assurance, including those related to co-generation facilities, international pipelines and an operating landfill.

FortisOntario Inc., 2019

Acted for Fortis Inc. and its subsidiary FortisOntario Inc. in connection with Ontario's largest First-Nations-led transmission project being undertaken by Wataynikaneyap Power LP, a partnership between 24 First Nations and private investors led by Fortis. This project was one of Lexpert's Top 10 deals of 2019.

Barrick Gold Corporation, 2019

Representing Barrick Gold Corporation in international tort litigation regarding tailings discharged from a Philippines copper mine facility operated by its predecessor, PlacerDome Inc.

Amcor Flexibles LLC, 2019

Assisted Amcor Flexibles LLC in the disposition of three manufacturing facilities in Wisconsin, ordered pursuant to U.S. anti-trust requirements. Environmental issues included the separation of activities and permits at one operating location, indemnification in relation to indoor air and soil vapour intrusion issues, ascertainment of lease liability clarification from the Wisconsin Department of Nature Resources (WDNR) and allocation of liability with respect to historic contamination including negotiations with landlord regarding remediation obligations to WDNR.

Acted for Trivest Partners, a U.S. private equity firm focused exclusively on mid-market founder- and family-owned businesses, in its acquisition of GAL Power Systems, a leading Canadian provider of commercial and industrial power generator sets and climate control systems operating across Canada, including Québec.

PSP Investments, 2018

Advised PSP Investments in its purchase of the Kulolio Ranch, Central Maui Feedstocks, LLC and the East Maui Irrigation Company, LLC with respect to former sugar cane operations in Hawaii. Environmental issues included liabilities related to solid waste dumps, pesticide use, water leases and licenses and wastewater permitting.

Acted for Kruger Inc. Master Trust in connection with the sale of Lidya Energy, a power plant located in Lachute, Québec, that transforms the biogas released at a landfill site into electricity, to Energy Developments (Canada) Inc., a subsidiary of Energy Developments Pty Limited, a member of Australia's DUET group.
