We also have extensive experience in the structuring and offering of innovative financing structures and products.

Our leading position in capital markets transactions is not limited to Canada. We draw on our deep experience and knowledge in this and related practice areas to provide seamless advice on cross-border financings by Canadian issuers and Canadian financings by international issuers. Davies continues to be a key player in offerings employing MJDS, an initiative of the U.S. and Canadian regulators that permits Canadian issuers efficient access to the public U.S. capital markets. We have also assisted Canadian clients with listings and financings involving foreign stock exchanges such as NYSE and AIM. Our expert advice is also not limited to financings by public companies. We advise issuers and investors through all stages of the capital-raising cycle, including seed and venture capital and private equity investments. We also have significant experience structuring and negotiating private investments in public issuers (so called "PIPE" transactions).

In addition to transactional work, we advise public companies on their corporate governance and disclosure obligations and assist them with securities compliance issues, including securities regulatory and enforcement matters and internal investigations. We also advise Canadian and foreign investment dealers on their compliance with registration requirements and trading issues. Our frequent interactions with Canadian  securities regulators and the TSX allow us to help our clients stay ahead and navigate the constantly evolving securities regulation.
