Marie-Andrée Latreille

Marie-Andrée Latreille is a partner in the Corporate/Commercial practice. As head of corporate services in the Montréal office, it is also her responsibility to oversee the rendering of all corporate services executed by that office and, with the participation of the Montréal corporate services department, to maintain the corporate records of nearly 2,000 corporations, partnerships and organizations.

Marie-Andrée is consulted for her expertise in both federal and provincial corporate laws and counsels clients and colleagues on all matters relating to legal persons, partnerships and not-for-profit organizations. She plays an important role in nearly all major or complex transactions by contributing her expertise in the planning, structuring and implementation of significant commercial transactions, including mergers, acquisitions and corporate reorganizations of both public and private companies.

Representative Work

  • Acted for Thrasos Therapeutics in connection with its US$35-million venture capital financing for the development of its lead product candidate for the treatment of acute kidney injury.

  • Acted as counsel to the Molson brothers, Geoff, Andrew and Justin, in connection with the acquisition of the Montréal Canadiens Hockey Club by the investment group led by the Molson brothers. This transaction is considered to be one of the most significant acquisitions ever completed in professional sports in North America. The transaction also included the purchase of the Montréal Bell Centre and the Gillett Entertainment Group.

  • Acted as Canadian counsel for Time Inc. in its acquisition of QSP, Inc., in the United States, and Quality Service Products Inc., in Canada, from The Readers Digest Association Inc. in a transaction valued at US$110 million.

  • Acted for Montréal-based S. Rossy Inc. and Dollar A.M.A. Inc. in regard to Dollarama L.P. acquiring a majority position in the Dollarama business of S. Rossy and Dollar A.M.A., with the founders and management retaining a substantial stake.

  • Acted for Alimentation Couche-Tard Inc. on its acquisition of The Circle K Corp. in a transaction valued at $1.06 billion.

  • Acted for Abitibi-Consolidated Inc. (now known as Resolute Forest Products) and SFK Pulp Fund in connection with their initial public offering of $444 million of trust units of SFK Pulp Fund and a $125-million credit facility in favour of the Fund.

  • Acted for Alexis Nihon Real Estate Investment Trust in the initial public offering of $85 million of trust units.

  • Acted for Six Flags, Inc. in regard to its acquisition of La Ronde Amusement Park in Montréal for an amount of $30 million and related commitment to invest an additional $90 million.

Marie-Andrée has made several presentations for the Québec Bar, in particular on the subject of law relating to legal persons. She taught a course within the Québec Bar continuing education program on the topic of jurisdiction shopping for legal persons. She also trains the firm’s students and stagiaires in corporate law.

Marie-Andrée has spoken at numerous conferences on corporate law for the Canadian Museums Association and the Centre d’entrepreneurship of the Université de Montréal’s École des Hautes Études Commerciales among others. She was also invited as an expert to the information sessions on the Canada Business Corporations Act reform held in Montréal and Québec City by Industry Canada in February 2002. At the Québec Bar annual conference held in June 2002 and on numerous other occasions, she has made a presentation on the risks and liabilities for lawyers acting as directors for their clients.
