Erika Douglas

Erika Douglas is an associate in the Competition & Foreign Investment Review practice. She is developing a broad Competition law practice across a variety of areas, including mergers, cartel and abuse of dominance investigations, foreign investment review, broadcasting and telecommunications law, and misleading advertising.

Since joining Davies, Erika has worked on matters in a wide range of industries, including mining, telecommunications, retail, commercial real estate, consumer products and financial services.

Erika received an Insolvency Institute of Canada Award for her paper, "The Codification of Debtor in Possession Financing: A New Era?".

Representative Work

  • Acting for Google Inc. in connection with the regulatory aspects of the sale of its Motorola Home Business to Arris Group, Inc. for $2.35 billion in a cash-and-stock transaction.

  • Acting for US Airways Group, Inc. in connection with the regulatory aspects of its proposed merger with AMR Merger Sub, Inc., a wholly-owned subsidiary of American Airlines, Inc. The combined equity value will be approximately US$11 billion.

  • Acted for AMC Entertainment Inc. in its divestiture of Canadian theatres to Cineplex Inc. and Empire Theatres Limited.

  • Acted as Canadian counsel to AMC Entertainment Inc. in the US$2.6-billion acquisition of AMC by Beijing-based Dalian Wanda Group Co.

  • Acted for Rogers Communications Inc. with respect to competition and regulatory matters in connection with its joint acquisition with Bell Canada of Maple Leaf Sports & Entertainment Ltd. from Ontario Teachers' Pension Plan.

  • Acted for KGHM Polska Miedz S.A., one of Poland's leading companies and Europe's largest copper miner, in its $2.87-billion acquisition of Quadra FNX Mining Ltd.  At the time of closing, this was the largest ever foreign acquisition by a Polish company.

  • Acted as Canadian counsel to United Technologies Corporation on competition and other regulatory matters in connection with its acquisition of Goodrich Corporation in a deal valued at US$16.5 billion.

  • Acted for MHR Fund Management LLC in connection with its US$77-million acquisition of common shares of Lions Gate Entertainment Corp. from Carl Icahn.

  • Acted for a syndicate of underwriters co-led by Scotia Capital Inc. and RBC Dominion Securities Inc. in a $200-million public offering of Non-cumulative Rate Reset shares of Manulife Financial Corporation.

  • Acted for Fronteer Gold Inc. in connection with the $260-million sale of the uranium assets of Aurora Energy Resources Inc., a wholly owned subsidiary of Fronteer Gold, to Paladin Energy Ltd.

  • Acted as counsel for the Council of Governors of the Canadian Public Accountability Board with respect to its certification process.

While in law school at the University of Western Ontario, Erika assisted Professor Richard McLaren in writing Secured Transactions in Personal Property in Canada, The Annotated Ontario Personal Property Security Act, The Annotated British Columbia Personal Property Security Act, The Annotated Alberta Personal Property Security Act and Canadian Commercial Reorganization: Preventing Bankruptcy. She also co-authored the article "Women Ski Jumpers Allege Human Rights Breach" for the World Sports Law Report (May 2007).
