Alain Gaul

Alain Gaul is a partner in the Financial Restructuring & Insolvency, Litigation and Environmental practices. He is also the Financial Restructuring & Insolvency practice group coordinator for the Montréal office.

Alain has acted as counsel in connection with corporate restructurings and has represented creditors and debtors alike, as well as court officers involved in the restructuring process. He has also represented various financial institutions. In the past few years, Alain has acted for many purchasers acquiring businesses in the context of insolvency proceedings.

Alain began his career with Davies in 1998 and left to become Chief of Staff for Québec’s Minister for Sustainable Development, the Environment and Parks from April 2003 to November 2005. In this capacity, he acquired in-depth knowledge of the environmental sector and the major issues facing that sector and its principal stakeholders.

Representative Work

  • Acted as Canadian counsel to India-based Tata Chemicals Limited in its acquisition of General Chemical Industrial Products Inc. in a transaction valued at US$1 billion, making Tata Chemicals one of the largest soda ash producers in the world.

  • Acted for Zygo Corporation Inc. (a U.S. publicly traded corporation) in its acquisition of the assets of Solvision Inc. from the interim receiver appointed to the assets of Solvision Inc.

  • Acted for Lilianne Lingerie Inc. and La Vie en Rose Inc. on their acquisition of Moments Intimes and Victoire Delage boutiques.

  • Acted for a group of private investors in their acquisition of Eloda Corporation through a Bankruptcy and Insolvency Act proposal.

  • Acting for Cominar Real Estate Investment Trust and its affiliates, significant creditors of Homburg Invest Inc. and its subsidiaries, in the restructuring attempt of Homburg Invest Inc. under the Companies' Creditors Arrangement Act.

  • Acted for Balcorp Group Limited in connection with the acquisition of Mine Jeffrey Inc. by Mineral Fibre (MF) Inc., the re-organization with an Asian investor and the subsequent financing for the development of an underground mine by Investissement Quebec.

  • Acted for G.I. Sportz Inc. in its acquisition of the assets of Procaps LP, a leading paintball manufacturer, and its affiliates in connection with a receivership process.

  • Acted for Accord Financial Inc. as secured creditor in the matter of the proposal and re-organization of Encore Gourmet Food Corporation.

  • Acted for RSM Richter Inc. as trustee in the matter of Railpower Technologies Inc.

  • Acted for ExelTech Aerospace Inc. and related companies in connection with proposals and asset sales under the Bankruptcy and Insolvency Act.

  • Acted for Haemacure Corporation in connection with the sale of its assets to Angiotech Pharmaceuticals, Inc. through a Bankruptcy and Insolvency Act Proposal and through Chapter 11 proceedings in the United States.

  • Acted for SG Overseas to assert secured claims in the insolvency of SaarGummi (Québec) Inc.
