Sam Minzberg is a partner in the Corporate/Commercial and Taxation practices. He is also a member of the firm’s Management Committee.

Sam specializes in corporate, commercial and tax law, with an emphasis on mergers and acquisitions, corporate reorganizations, investment funds, business trusts and advising high-net-worth families.

From January 1, 1998 to December 31, 2002, Sam was President and Chief Executive Officer of Claridge Inc.  Claridge acts as a management and holding company on behalf of the Charles R. Bronfman family.

Representative Work
  • Acted for Circuit City Stores, Inc.’s acquisition of InterTAN, Inc., the operator of Radio Shack stores in Canada, in a transaction valued at approximately US$286 million to create The Source by Circuit City.
  • Acted for Prinoth SpA, a member of the Leitner Technologies Group, in its acquisition of Camoplast Inc.
  • Represented Prime Retail L.P. with respect to its proposed entry into Canada.
  • Provided corporate/commercial, tax and private equity advice to S. Rossy Inc. and Dollar A.M.A. Inc. when Dollarama L.P. acquired a majority position in the Dollarama business of Montréal-based S. Rossy Inc. and Dollar A.M.A. Inc., with the founders and management retaining a substantial stake.
  • Acted for Northbridge Equity Partners, a Montréal-based private equity firm, in connection with its acquisition of Fairway and Green, Ltd., a US-based leading manufacturer of golf apparel.
  • Represented Como Diffusion Inc. with respect to corporate commercial and tax matters when Gordon Brothers acquired the Como Fred David business of Como Diffusion Inc.
  • Acted for Gordon Brothers in connection with the refinancing of the Hudson’s Bay Company.
  • Acted for the Larry Rossy family in connection with the public offering of Dollarama Inc.

Speaking Engagements

Sam was a featured speaker on the topic of "How the Family Office can get the Most from its Legal (and Other) Advisors" for a recent Insight conference held in Niagara-on-the-Lake. In this session, Sam provided a perspective on the role of trusted advisors serving families.
