Tarne Whiteley is a partner practising in the areas of corporate and securities law, with an emphasis on mergers and acquisitions, corporate finance and private equity. She has significant experience in domestic and international transactions, including acquisitions, corporate reorganizations, bankruptcy and insolvency restructurings and public and private financings.
Tarne recently acted for Catalyst Fund in its successful restructuring of Cable Satisfaction International Inc. under the CCAA and subsequent sale of its Portuguese subsidiary to Cogeco Inc. She also represented the Government of Ontario in connection with the IPO of Teranet Inc., the Province's electronic land registry system. Tarne has advised ONCAP Investment Partners in connection with a $575 million private equity fund.
In the securities law practice area, Tarne has represented a syndicate led by BMO Capital Markets in connection with the private placement by Vancouver International Airport Authority of $350 million of debentures, and Celestica in its public offering in the United States and concurrent private placement in Canada of $250 million of subordinated notes.
Tarne has been involved in a number of major acquisitions for Celestica Inc. over the past few years, including Celestica's acquisitions of electronics manufacturing businesses from Lucent Technologies, Avaya Inc., Omni Industries and other major global OEM's in Canada, the United States, the UK, France, Italy and South East Asia. She has also acted for Celestica in connection with its various credit agreements.
Tarne is responsible for the Corporate Securities Law Moot Court Competition which has been organized by Davies since its inception in 1991.
Tarne received a B.A. (Honours) in Labour-Management Relations and Economics from the University of Toronto in 1991 and an LL.B. from the University of Windsor in 1996. She was made a partner of the firm in 2000.
