Robert Vineberg is a partner who specializes in transactions and corporate law. He has particular expertise in mergers and acquisitions, real estate, corporate governance, estate planning and trusts and charitable institutions. His client base reflects the significance of the transactions he helps to negotiate and finalize.
Robert advised the sponsors, Redbourne Realty Advisors Inc. and Redbourne Realty Management Inc., in connection with the creation of the Redbourne Realty Fund, which was established to permit investors, primarily pension funds, to invest in commercial real estate in Canada. He acted for the vendors of Holiday Group Inc. in connection with the sale of shares of Holiday Group Inc. and Travelpro International Inc. to Borealis Capital Corporation.
Robert advised the shareholders of Netstar Communications Inc., the largest specialty broadcaster in Canada, on the purchase and on the subsequent sale of a majority interest of the corporation. He was lead counsel in what is believed to be the largest single-site transaction in Canadian real estate history – the development and sale of Terminal 3 at Pearson Airport in Toronto. He represented the owners of Terminals 1, 2 and 3 in their negotiations with the Government of Canada and the Greater Toronto Airports Authority. He acted as counsel to the Audit Committee and the independent directors of Cinar Corporation, represented Kruger Inc. in the acquisition of Scott Paper Limited and Reitmans (Canada) Limited in its acquisition of Shirmax Fashions Ltd., acted for the vendor in the sale by Globe Publishing of its portfolio of publications to American Media, assisted Claridge Properties in the acquisition and disposition of 57 shopping centres in 15 U.S. states, was legal advisor to Boomerang Tracking Inc. in its sale to Lojack Corporation and provided counsel to the majority shareholders in the sale of The Cadillac Fairview Corporation Ltd.
Robert is included in LEXPERT/American Lawyer Media’s Guide to the Leading 500 Lawyers in Canada for mergers and acquisitions as well as in Euromoney Legal Media Group’s Guide to the World’s Leading Real Estate Lawyers. He is also recognized as a repeatedly recommended practitioner in mergers & acquisitions law, corporate finance and securities law and corporate commercial law in the Canadian Legal LEXPERT Directory. Robert has been awarded Martindale-Hubbell’s highest ranking.
Robert has spoken and written extensively on issues of corporate and trust law and law firm governance and business development. He is a director of a number of Canadian corporations and foundations, a member of the International, American and Canadian Bar Associations and is an active fundraiser on behalf of several Montréal charitable organizations. Robert is the co-chair of the Montreal Tomorrow initiative of Federation CJA of Montréal and is the co-chair of lead gifts for the Jewish General Hospital Capital Campaign. He is the immediate past President of the World Law Group, was a member of the Experts Group on Non-Profit Law and Directors' Liability established by Industry Canada and is Chair of the International Bar Association Committee on Law Firm Management. Robert is a Fellow of the College of Law Practice Management.
Robert completed his B.A. at McGill University in 1964 and his B.C.L. in 1967 and joined the firm in the same year, becoming a partner in 1976.
