Michael Vineberg is a partner in the Taxation, Mergers & Acquisitions and Trusts & Estates practices. He specializes in corporate, tax and trust law. His practice is diverse, encompassing domestic and international transactions and planning. Drawing on his broad corporate and tax planning expertise, Michael has extensive transactional experience in Canadian and international transactions. He represents entrepreneurs, private and multinational public companies, as well as investment firms and family trusts.

Michael has served or currently serves as a director of several Canadian, United States and Israeli corporations, including Claridge Inc., Velan Inc., ECI Telecom Inc., Blinds To Go Inc., Super-Sol Ltd., Canada-Israel Development Ltd. and CBCI Telecom Inc.

Representative Work
  • Acted for the Bronfman Family and Cemp Investments Ltd. with respect to the reorganization of Seagram Ltd.
  • Acted for the Charles Bronfman Family shareholders on the Seagram Vivendi transaction.
  • Acted for Eric Molson and Pentland Securities (1981) Inc. in the Molson Inc. merger with Adolph Coors Company in a transaction valued at $7.7 billion.
  • Acted for Velan Inc. in the sale of its 50% interest in valve manufacturer Velan S.r.l. to BPS S.r.l. in a transaction valued at $44 million.
  • Acted for Velan Inc. with respect to the establishment of joint venture businesses in the People's Republic of China and Italy.
  • Acted for Velan Inc. with respect to the sale of its Securamax Division.
  • Acted for Domfer Metal Powders in its restructuring.
  • Acted for Blue Tree Wireless Data on its public issue and a number of subsequent transactions, including the business combination with Sixnet Communications.
  • Acted for Investissements Desjardins Inc. with respect to the sale of Culinar Inc. and the reorganization of Camoplast Inc.
  • Acted for Claridge Israel LLC and the Charles Rosner Bronfman Family Trust in a series of transactions relating to Koor Industries Ltd. (the largest Israeli conglomerate), ECI Telecom Inc. and SunOpta.
  • Acted for the Rothermere Foundation with respect to a series of tax issues.
  • Acted for Leviton Manufacturing of Canada Ltd. with respect to a series of tax issues.
  • Acted for CBCI Telecom Inc. and related corporations with respect to the sale of their wireless businesses to WorldLynx Wireless Corporation. Davies was named as part of the 2009 Deal of the Year for its role as advisors in this transaction.
  • Acted for the Charles Rosner Bronfman Family Trust and associated entities with respect to their acquisition of a controlling or significant interest in a series of food companies (Circle Foods, VLR Food Corporation, Janes Family Foods Ltd., SunOpta Inc., Importation De-Ro-Ma Ltée, Plats du Chef).
  • Acted for Cornerstone Capital Partners and Key Principal Partners with respect to the acquisition and financing of Focus Doors and Windows.
  • Acted for the vendors on the sale of Farley Windows and Doors.
