Justin D. Vineberg is a partner in the Montréal office. With an extensive knowledge of the nature of their business, Justin is active in counselling ambitious entrepreneurs and venture capitalists in various types of businesses including life sciences and high-technology with respect to mergers and acquisitions, private placements, shareholder issues, unique finance structures, cross-border issues, product development, strategic alliances, distributions, collaborations and licensing. Justin also regularly advises Canadian and international retailers regarding a wide variety of issues.

Justin has recently been involved in the following publicly disclosed transactions: acted for a fund controlled by Gordon Brothers in connection with the acquisition of control of Les Produits Aromatiques Clair de Lune Inc.; represented Time Inc. in its US$110 million acquisition of QSP, Inc. and Quality Service Products Inc.; represented Gemin X Pharmaceuticals Canada Inc. in its US$65.2 million financing consisting of a US$50 million equity injection and a US$15.2 million loan; acted for Procaps Encapsulation Inc. in connection with the sale of its assets to a fund managed by Imperial Capital Corporation,; represented Graceway Pharmaceuticals, LLC in connection with its acquisition of the Canadian pharmaceuticals business of 3M Canada Company; acted for BELLUS Health Inc. (formerly Neurochem Inc.) in its $85 million initial public offering on NASDAQ and additional offering on The Toronto Stock Exchange, established a joint venture in China among Picchio Pharma Inc., Adaltis Inc. and CITIC Pacific Ltd. and assisted Wavesat Inc. in the sale of its satellite communication and amplifier businesses to Mitec Telecom Inc. From 1999 to 2007, Justin was a director of AOL Canada Inc.

Justin has led a panel on mergers and acquisitions at the American Bar Association, International Section semi-annual conference in New York, spoken on Exit Strategy Pitfalls at The Canadian Institute’s Conference on Canadian Venture Funding in Toronto and lectured on Venture Capital at the McGill University Faculty of Law. He is very active as a fundraiser for Federation CJA and Juvenile Diabetes Research Foundation and is currently a board member of Federation CJA, a trustee of the Jewish General Hospital Foundation, co-chair of the Corporate Sponsorship Committee for Juvenile Diabetes Research Foundation Rockin’ for Research Gala and co-chair of the Ben Gurion Society of the Federation CJA Young Leadership Campaign. He is also a past chair of the Jewish Chamber of Commerce. Justin is the vice-chair of the International Law Practice Management Forum of the American Bar Association, International Section.

Justin is recognized among Lexpert Magazine’s 2007 Rising Stars, Canada’s Leading Lawyers Under 40. Prior to joining the firm, Justin was the founder of a successful consulting firm for retail stores. The firm conducts operations throughout Canada and in several states in the U.S.

Justin completed his LL.B. and B.C.L. (Gold Medallist) at McGill University in 1997 and his B.Comm. at the same university in 1993. Justin is the chair of the firm’s recruiting and student/stagiaire committees. Justin became a partner of the firm in 2002.
