Derek Vesey is a partner practising in the areas of corporate finance, and general corporate and commercial law. Derek has a broad practice which includes corporate finance, banking, private equity, corporate reorganization transactions and general corporate matters.
Derek has played a lead role in a number of major syndicated credit facilities acting for both borrowers and lenders including, on the borrower side, Xceed Mortgage Corporation, Patheon Inc., Genus PLC and Dura Automotive Systems, Inc. and, on the lender side, Bank of Montreal, National Bank of Canada, ABN AMRO Bank N.V., Deutsche Bank, The Bank of Nova Scotia, Bank of Ireland and other major financial institutions.
Derek is also actively involved in our private equity group having acted for such equity investors as OMERS, Ontario Teachers’ Pension Plan Board, Callisto Capital, LP, MG Stratum Fund II Ltd., Birch Hill Equity Partners, and EdgeStone Capital Partners as well as for a host of corporate clients.
Derek also provides advice to clients involved in public-private infrastructure projects. In the last few years, Derek has played a key role in advising a consortium in the Canadian public-private infrastructure sector, including on the Academic Ambulatory Care Centre of Vancouver General Hospital (British Columbia), Abbotsford Hospital and Cancer Centre (British Columbia), Anthony Henday Drive Southeast Leg Ring Road (Alberta) and the Durham Courthouse (Ontario). In addition, he has assisted in advising the lenders on the Richmond Airport Vancouver Rapid Transit Project (now known as the Canada Line) (British Columbia) and has been involved in other infrastructure projects in British Columbia, Alberta and Ontario. The Abbotsford project was awarded the 2004 North America P3 deal of the year and the RAV project was awarded the 2005 North America transport deal of the year, in each case, by Project Finance magazine.
Derek has also acted on a large number of public and private acquisitions as well as numerous corporate reorganizations, including the acquisition of FloNetwork by DoubleClick Inc., the $3.48 billion reorganization and subsequent conversion to a US REIT of Trizec Hahn Corporation and the offer process for Canary Wharf Group plc, the UK public company which owned the Canary Wharf estate in London, England.
Derek has been recognized for Banking & Finance in Chambers Global's The World's Leading Lawyers For Business (2007), where peers referred to him as "reliably solid – fabulously so for his vintage."
Derek has taught the corporate law component of the Bar Admission Course and is involved in teaching the Advanced Business Law course offered by Osgoode Hall Law School. Derek received a B.Comm. (Honours) from Queen's University and an LL.B. from Osgoode Hall Law School, where he was the Silver Medallist.
