David Torralbo practises in the areas of corporate, commercial and securities law, with an emphasis on corporate finance and mergers and acquisitions, both domestic and cross-border. He has acted for clients in connection with debt and equity offerings, take-over bids, the purchase and sale of businesses, plans of arrangement and other forms of corporate reorganizations. In addition, David regularly advises Canadian and cross-listed issuers on corporate governance matters.
David has been involved in a number of private and public transactions, and acts regularly for issuers and private businesses as well as investment dealers. In this regard, and most recently, he has acted for the syndicates of underwriters in connection with the senior note offerings of Quebecor Media and Quebecor World, the initial public offerings of BTB Real Estate Investment Trust and Madacy Entertainment Income Fund as well as public offerings of Cogeco Cable Inc. David has advised CDP Financial Inc., a wholly-owned subsidiary of the Caisse de dépôt et placement du Québec, with respect to the offering by CDP Financial of $1.5 billion of medium term notes and the establishment of a $7 billion of commercial paper programme in Canada and in Europe. David has also been involved in the cross-border take-over of InterTan (RadioShack) by Circuit City Stores, in the sale by a subsidiary of Hydro-Québec of its interests in hydro generation and transmission companies in Panama, Peru and Costa Rica as well as the merger of Abitibi-Consolidated Inc. and Bowater Inc.
David is currently the Corporate Secretary, and regularly advises the board, of ExelTech Aerospace Inc., the third largest commercial airframe maintenance, repair and overhaul vendor in Canada, the shares of which are listed on the TSX Venture Exchange.
Prior to joining the firm in 2003, David worked in London and was a member of the finance and capital markets group of a leading English law firm, where he focused on asset-based and structured finance as well as international debt and equity capital markets transactions.
David graduated from McGill University with a B.Comm. in 1993 and studied law at the University of Ottawa (LL.L., 1996; LL.B., 1997). He was called to the Québec Bar in 1997 and became a non-practising member of the Law Society of England and Wales in 2003. David became a partner of the firm in 2004 and is fluent in English, French and Spanish.
