Sébastien Thériault
 
 
Sébastien Thériault practises corporate and commercial law, with particular emphasis on corporate finance, banking, private equity and private mergers and acquisitions. He has a diverse practice that includes complex international transactions and real estate matters.

He has significant experience in a large range of financing transactions including acquisition, asset-based, mezzanine, project and real estate financings (both as borrowers’ and lenders’ counsel). Sébastien has advised clients such as Alimentation Couche-Tard Inc., The Aldo Group Inc. and Axcan Pharma Inc. in connection with their cross-border syndicated facilities.

He participated in the formation of investment funds and other investment structures particularly in the debt, infrastructure and real estate sectors. He also has represented clients in connection with their investments in such funds, in Canada, the United States and Europe. Examples of Sébastien’s recent work include the formation and closing of a seed and early stage venture capital fund managed by iNovia Capital and the creation of an advisory platform and investment structure in India for a large Quebec pension fund.

Sébastien has also been involved as primary advisor in several acquisition and sale transactions and other commercial transactions in Canada and elsewhere. He was part of the team that represented Abitibi-Consolidated Inc. in connection with its merger with Bowater, Inc. and acted as primary advisor on the acquisition by Wellspring Capital and subsequent financing of a large pulp plant in Port Alice, British Columbia. Sébastien has also been working closely with 3Ci Inc., a major player in the windmill industry, for many years and helped them win a 156MW wind power project in the recent Hydro-Quebec call for tenders for 2,000MW of wind power.

Sébastien earned a Bachelor of Law from the Université de Montréal in 1996. He joined the firm after working as a summer student in 1996 and was admitted to the Quebec Bar in 1997. He became a partner of the firm in 2001.
