Gerald D. Shepherd
 
 
Gerald Shepherd is a partner in the corporate law group. His practice is focused in the areas of corporate and securities law, mergers and acquisitions and commercial real estate.

Gerald has represented both issuers and underwriters in connection with public and private offerings (including Rule 144A offerings) of equity, debt and convertible securities in the United States.  Gerald recently represented Alimentation Couche-Tard Inc. in connection with its Rule 144A offering of debt securities in the United States as part of the acquisition financing for its acquisition of The Circle K Corporation, and a number of other Canadian issuers, including Fortis Inc., CML Healthcare Fund, Rogers Sugar Income Fund, MethylGene Inc., and Russel Metals Inc. in connection with their Rule 144A offerings and private placements of securities in the United States. In addition, Gerald advises United States and non-U.S. clients with respect to their continuous reporting obligations under the U.S. federal securities laws, including their obligations under the Sarbanes-Oxley Act.

Gerald has also advised public and private companies, including private equity and real estate funds, in connection with the acquisition and disposition of shares of public and private companies and real estate and other assets.  Recently, Gerald has represented Amcor Ltd. in connection with the purchase of Rexam Plc's healthcare flexible packaging operations in the United States and other countries and in connection with the sale by Amcor Ltd. of its interest in a joint venture company. He also advised Alimentation Couche-Tard Inc. in connection with its acquisition of The Circle K Corporation, Patheon Inc. in connection with its acquisition of MOVA Corporation and Wheaton River Minerals Ltd. in connection with its proposed combination with GoldCorp Inc. In addition, Gerald has represented public and private companies in connection with the establishment of numerous joint ventures relating to real estate and other industries and in connection with the acquisition and disposition by those joint ventures of assets, both public and private.

Gerald is a member of the American Bar Association and the New York State Bar Association. He received a B.A. in 1986 from Washington and Lee University and a J.D. from Columbia University in 1989. Prior to joining the firm as a partner in 2002, Gerald was a Special Counsel at another major law firm, where he had worked for 13 years in New York City and Melbourne, Australia.
