Gerald Shepherd is a partner in the Commercial Real Estate, Corporate/Commercial, Corporate Finance & Securities and Mergers & Acquisitions practices.
Gerald has advised public and private companies, including private equity and real estate funds, in connection with the acquisition and disposition of shares of public and private companies and real estate and other assets. He has represented public and private companies in connection with the establishment of numerous joint ventures relating to real estate and other industries and in connection with the acquisition and disposition by those joint ventures of assets, both public and private.
Gerald has represented both issuers and underwriters in connection with public and private offerings (including Rule 144A offerings) of equity, debt and convertible securities in the United States. In addition, Gerald advises U.S. and non-U.S. clients with respect to their continuous reporting obligations under the U.S. federal securities laws, including their obligations under the Sarbanes-Oxley Act.

- Represented Xstrata plc in connection with its acquisition of Falconbridge Ltd.
- Represented investor groups, including major U.S. and Canadian institutional investors, in connection with the acquisitions of Boykin Lodging Company, a NYSE-traded REIT, and the owner of the Intown Suites extended-stay lodging chain.
- Represented E-Z-EM Inc. in its merger with Bracco Diagnostics, Inc.
- Represented Agnico-Eagle Mines Limited in its exchange offer for the outstanding shares of Riddarhyttan Resources AB and its tender offer for Cumberland Resources; advised Agnico-Eagle Mines Limited in connection with a cross-border registered equity offering and the establishment of a cross-border shelf registration statement.
- Advised Alimentation Couche-Tard Inc. in connection with its acquisition of The Circle K Corporation; represented Alimentation Couche-Tard Inc. in connection with its Rule 144A offering of debt securities in the United States as part of the acquisition financing for its acquisition of The Circle K Corporation.
