Sébastien Roy is a partner who practises corporate and securities law with a focus on corporate finance and mergers and acquisitions. He has represented issuers and underwriters in public offerings and private placement of equity and debt securities in Canada and the U.S. and has been involved in public and private mergers and acquisitions.
Sébastien has notably been involved in the initial public offering and subsequent offerings of Neurochem Inc. in the United States and Canada, the initial public offering of MethylGene Inc., BCE Inc.'s sale of its controlling interest in BCE Emergis Inc. through the issuance of subscription receipts as well as the sale by S. Rossy Inc. and Dollar A.M.A. Inc. of their majority position in the Dollarama business to Dollarama L.P.
Recent transactions in which Sébastien played a key role include TSX Group’s combination with Bourse de Montréal and Cominar REIT’s proposed takeover of Alexis Nihon REIT and the subsequent acquisition by Cominar of a portfolio of office and industrial buildings from Alexis Nihon. As part of his practice, Sébastien also advises clients on compliance with securities regulation, corporate governance and other corporate matters.
Sébastien is the co-author of “Oppression: From a Shareholders’ to a Stakeholders’ Remedy”, an essay on the scope of the oppression remedy, published in Carswell's
Annual Review of Civil Litigation 2002. He is also co-author of a chapter on Canada in
International Stock Plan, published by Bowne Inc.
He graduated with a B.A. (with Distinction) in Philosophy from McGill University in 1999 and received his B.C.L. and LL.B. (with Great Distinction) from McGill University in 2002. He was called to the Quebec Bar in 2003 and became an associate the same year. Sébastien became a partner in 2007.
