Brooke Jamison
 
 
Brooke Jamison is a partner practising in the areas of corporate, commercial and securities law.  Brooke has acted for her clients on public and private mergers and acquisitions, public and private financings, private equity investments, general corporate and commercial matters and corporate governance issues.

Since joining the firm, Brooke has played a key role in a number of public offerings, including a $125 million public offering of debentures and the establishment of Merrill Lynch's $5 billion Canadian medium term note program, as well as in domestic and cross-border private placements of Canadian and foreign issuers.   Brooke advises Merrill Lynch on an ongoing basis with respect to its Canadian medium term note program, including for offerings of equity-linked notes and other structured products.  She also acts as counsel to Xceed Mortgage Corporation, a publicly-traded residential mortgage lender, and she assisted Xceed in connection with its initial public offering in 2004. 

Most recently, Brooke assisted Braveheart Investors L.P., an affiliate of Westmont Hospitality Group and Cadim Inc., a division of Caisse de depot et placement du Québec, in its acquisition of Boykin Lodging Company by way of a cash merger transaction, valued at approximately US$416 million, including debt.

Brooke also acted for PetroKazakhstan Inc. in its US$4.18 billion acquisition by China National Petroleum Corporation and Barrick Gold Corporation in its US$10.4 billion takeover of Placer Dome Corporation.  In 2005, she counselled ICOM Information and Communications Inc. in the sale of its business to Alliance Data Systems, a U.S. public company, and assisted Birch Hill Equity Partners with the formation of Birch Hill Equity Partners III, L.P., a private equity fund with a focus on investing in middle market companies located principally in Canada.

Brooke received her B.A. (Honours) in English in 1994 from the University of Alberta, an M.A. in English in 1995 from Queen’s University and her LL.B. from the University of British Columbia in 2001.  She joined the firm as an articling student in 2001 and returned as an associate following her call to the Ontario Bar in October 2002.  Brooke became a partner in 2005.
