Jennifer Grossklaus is a partner practising in the areas of corporate and securities law and mergers and acquisitions.
In the last several years, Jennifer has played a key role in a number of public and private M&A transactions as well as a number of public offerings. In 2007, Jennifer acted for Cadbridge Investors LP (a joint venture between affiliates of Cadim Inc., a division of the Caisse de dépôt et placement du Québec, and Westmont Hospitality Group) and InnVest Real Estate Investment Trust in their take-over bid for all of the outstanding trust units of Legacy Hotels Real Estate Investment Trust, a transaction valued at approximately $2.5 billion. She also played a key role in InnVest's equity financing for this transaction, which consisted of a public offering of $200 million of subscription receipts and $70 million of convertible debentures. In 2006, Jennifer acted for EdgeStone Capital Partners, one of Canada's leading private equity firms, in connection with the acquisition of EdgeStone by GMP Capital Trust for approximately $152 million. In 2005, Jennifer assisted Masonite International Corporation when it was acquired by an affiliate of Kohlberg, Kravis, Roberts & Co. She has also assisted on a number of private M&A transactions over the last several years.
Jennifer has also played an integral role in a number of public offerings, including acting for the issuers in the initial public offerings of InnVest Real Estate Investment Trust, Sleep Country Canada Income Fund and Xceed Mortgage Corporation and acting for Bird Construction Company Limited in its conversion to an income trust, Bird Construction Income Fund. Jennifer has also acted for underwriting syndicates in a number of initial public offerings and secondary offerings and has also assisted on a number of equity private placements.
In late 2006 and early 2007, Jennifer spent five months on secondment in the securities group of a client of the firm.
Jennifer attended McGill University and graduated with both an LL.B and a B.C.L. in 2000. She became a partner in 2003.
