R. Brian Calalang
 
 
Brian Calalang is a partner practising primarily in the areas of corporate, commercial and securities law as well as structured finance.  He has acted for both private and public entities on a variety of matters, including domestic and cross-border public securities offerings and private placements, securitizations, share and asset sales and acquisitions, reorganizations and loan financings.

Brian also regularly provides advice and assistance to publicly listed companies, as well as to investors, in connection with their ongoing corporate and securities law obligations, as well as with respect to corporate governance matters.  His clients have included Agricore United and Biovail Corporation.  He has also worked closely with a large private, family-owned multinational company to develop ownership and governance strategies as part of its family succession planning.

Brian also regularly acts for investment banks, single and multi-vendor conduits, asset originators and other active participants in the Canadian securitization market in securitizing a broad range of asset classes.

Brian's transaction experience includes acting on the following matters: the asset sale by Agricore United to Alliance Grain Terminal Ltd. of its Vancouver port terminal facility; the establishment by First National Mortgage Trust of a $500 million asset-backed commercial paper program; the establishment of a subordinated syndicated credit facility for Shred-it International Inc. led by CIBC Capital Partners; the initial public offering by CNH Capital Canada Wholesale Trust of $189 million of receivables-backed notes; the private placement in Canada and the U.S. by Rogers Cable Inc. of US$350 million of senior secured second priority notes and by Rogers Wireless Inc. of US$750 million of senior secured notes; the initial public offering by CFI Trust of $190 million of receivables-backed notes; the reorganization and assignment to Cinnamon Investments Limited of management contracts of The First Asia Income Fund; the bought deal public offering by Agricore United of $100 million of convertible debentures; the bought deal public offering by Agnico-Eagle Mines Limited of US$143.75 million of convertible debentures; the treasury and secondary offering by Agricore United of $104 million of limited voting common shares; the lease by Canadian Niagara Power Inc. of the electricity distribution assets of Port Colborne Hydro Inc.; and the public offering by The Manufacturers Life Insurance Company of $800 million of subordinated debentures.

In 2001, Brian co-authored a paper entitled "Disclosure Under the Microscope:  Lawsuits, Investigations and Enforcement Actions in the Wake of Regulation FD" for a Canadian Institute Conference held in Toronto.  In 2003, Brian co-authored a paper entitled "The Fundamentals of Canadian Securities Regulation and Continuous Disclosure" for an Insight conference held in Toronto.  In 2004, Brian guest lectured for the National Securities LL.M. Program at Osgoode Hall Law School on the topic of public offerings.  In 2005, Brian was an instructor at the University of Western Ontario, teaching the upper level securities law class.  In 2006, Brian co-authored an article entitled "Heightened Requirements in ABS Offerings" for the 9th Annual Asset Securitization Forum in Banff.  In 2007, Brian guest lectured at the  2007 Schulich School of Business Bay Street Speaker Series on his experiences as a corporate lawyer.

Brian received a B.B.A. (with Distinction) from the Schulich School of Business at York University in 1996 and an LL.B. (with Distinction) from Osgoode Hall Law School at York University in 1999.
