Ivana Gotzeva is a partner of the firm and the Director of Knowledge Management for the Toronto office. In this role, she is responsible for leading and managing the knowledge management strategy of the Toronto office and for directing its knowledge management initiatives. Prior to assuming this role, Ivana practised for over five years in the firm's corporate and securities area, with an emphasis on mergers and acquisitions and corporate finance, and was involved in a variety of transactions, including the sale and acquisitions of public and private companies, public offerings of debt and equity and private placements.
Representative Work
- Represented Fortis Inc. in connection with its 2007 acquisition of Terasen Inc., the Canadian natural gas distribution business of Kinder Morgan, Inc., in a transaction valued at $3.7 billion, and the related public offering of 44,275,000 subscription receipts for gross proceeds of $1.15 billion. Also advised Fortis Inc. on the $230 million public offering of preferred shares in May 2008 and the $300 million public offering of common equity in December 2008.
- Advised Reuters Group PLC with respect to the corporate and securities aspects of its merger with Thomson Corporation, creating a company with a combined value of approximately US$17.6 billion.
- Advised the Special Committee of Rothmans Inc. in connection with the $2 billion take-over bid by Philip Morris International and the Special Committee of Intier Automotive in connection with the acquisition of Intier by Magna International.
- Advised Jaguar Mining Inc. in its $110 million cross-border public offering of common shares.
- Represented MI Developments Inc. in connection with a proposed divestment and spin-off of ownership position in Magna Entertainment to MI Developments shareholders.
