Rosemary Newman is a partner practising in the corporate and securities areas. She has significant experience in domestic and international transactions, including acquisitions, corporate reorganizations and public and private financings.
In the past few years, Rosemary has worked on corporate restructurings under the
Companies' Creditors Arrangement Act (Canada), including the sale of assets of Ivaco Inc. and of Roman Corporation Limited. Most recently, she advised a subsidiary of Hanson PLC on its acquisition of Perma Paving Stone.
Rosemary has acted for both issuers and underwriters on numerous public and private debt and equity securities financings. Rosemary advised Merrill Lynch Canada Finance Company and Merrill Lynch & Co., Canada Ltd. in their $5 billion medium term note program and she has also acted for a syndicate of underwriters led by BMO Nesbitt Burns in connection with the Greater Toronto Airport Authority's $2.5 billion medium term note program. She recently acted for CIBC World Markets and RBC Capital Markets and the private placement by Ottawa International Airport of $200 million senior secured airport revenue bonds.
In the private equity area, Rosemary has represented fund sponsors in connection with the establishment and structuring of private investment funds. Recently, she assisted Callisto Capital Partners in connection with the formation of its most recent fund, Callisto Capital III.
Rosemary has extensive experience advising clients on corporate governance practices, particularly as they responded to new Canadian and U.S. governance standards following the collapse of Enron. She has spoken and written on a variety of governance-related topics at legal and other conferences. Rosemary is a member of the Board of Regents of Victoria University in the University of Toronto and sits on the board's Nominating, Appointments and Governance Committee.
She has a B.A. in English and History and an M.A. in Medieval Studies from the University of Toronto and received her LL.B. from the University of Windsor. Rosemary became a partner in 2000.
