Mindy Gilbert is a partner practising in the areas of corporate and securities law. She has worked on a variety of corporate law matters including commercial, public and private securities offerings, related party transactions, plans of arrangement, mergers and acquisitions and asset and share purchases and private equity investments transactions. Mindy has also provided advice to a number of publicly listed companies in connection with compliance with their ongoing corporate and securities law obligations.

Mindy has played a significant role in a number of important mergers and acquisition transactions, including the acquisition by an affiliate of Fortress Investment Group of the Canadian assets of RailAmerica Inc. and Holiday Retirement Corp., as counsel to Fortress Investment Group and as counsel to Man Financial Inc. in its acquisition of Refco Canada Inc.  Mindy also played a principal role in the initial public offering of Xceed Mortgage Corporation and the formation, initial public offering and recent senior secured note offerings of Sleep Country Canada Income Fund.

In the Private Equity area, Mindy acts as counsel to a number of private equity firms in connection with the establishment of their funds and transactions involving their portfolio companies.

Mindy has taught the corporate law component of the Bar Admission Course and in 2003, she co-authored a paper entitled “The Fundamentals of Canadian Securities Regulation and Continuous Disclosure” for an Insight conference held in Toronto.

Mindy received an LL.B. from Osgoode Hall Law School in 1997.  She became a partner in 2003.
