Recent major public transactions in which Pat has had significant involvement include acting as: counsel to CML Healthcare Inc. in connection with its $1 billion income trust conversion; Canadian counsel to Celestica Inc. in connection with the acquisition of a number of public electronics manufacturing services companies, including Manufacturers' Services Limited (U.S.), Omni Industries Limited (Singapore) and Primetech Electronics Inc. (Canada); counsel to InnVest REIT in connection with its $300 million initial public offering; Canadian counsel to the initial purchasers in connection with bond offerings by CanWest Media Inc. and Moore North America Finance Inc.; counsel to Agnico-Eagle Mines Limited in connection with its overnight marketed offering of common shares and warrants; counsel to the underwriters in connection with a number of bond and medium term note offerings by 407 International Inc.; counsel to Celestica Inc. in connection with a number of public equity and debt offerings, including its $1.1 billion U.S.-style bought deal, its $1 billion offering of Liquid Yield Option Notesä and its $530 million initial public offering; and counsel to Onex Corporation in connection with an unsolicited take-over bid for the shares of Air Canada.
For the past two years, Pat has been a practitioner participant in the "Art of the Deal" course at the University of Toronto, and he is the author of "The Regulation of Corporate Law by Securities Regulators: A Comparison of Ontario and the United States", published in the University of Toronto Faculty of Law Review in 1997.
Pat received a B.A. in Economics (summa cum laude) in 1992 from McMaster University and an LL.B. in 1996 from the University of Toronto.
