Siobhan Monaghan is a partner in the Taxation practice. She has extensive transactional tax experience, including domestic and cross-border reorganizations, financings, mergers and acquisitions, spin-off transactions and securities transactions. Siobhan has regularly advised on flow-through limited partnership offerings for the resource industry.
Representative Work
- Acted on the initial public offering of $75 million of units of Altus Group Income Fund.
- Acted for Roman Corporation, following its application to the Companies' Creditors Arrangement Act for protection in 2006, on the sale of its assets to Forest Resources LLC.
- Acted for Citigroup Global Markets Inc. in regard to the senior notes offering in connection with Quebecor Media Inc.'s refinancing plan comprised of a private placement in the U.S. and Canada of US$525 million principal amount of senior notes due 2016 (with registration rights) and a new senior secured credit facility consisting of a five-year $100 million revolving credit facility, a five-year $125.0 million Term Loan A facility, and a seven-year US$350 million Term Loan B facility.
- Acted for Bain Capital as Yellow Pages Group (YPG), through Yellow Pages Income Fund, acquired Advertising Directory Solutions Inc. (ADS), Canada’s second-largest directory publisher. YPG purchased the business from an affiliate of Bain Capital for a purchase price of approximately $2.55 billion payable with cash at closing, subject to a deduction for indebtedness. The ADS operating company has been renamed Yellow Pages Inc./Pages Jaunes Inc.
- Acted for Wheaton River Minerals Ltd. when it was acquired by Goldcorp Inc. in a transaction valued at $2.4 billion. Each Wheaton River share was exchanged for 0.25 of a Goldcorp share. The transaction was carried out by way of a share exchange takeover bid followed by a second-step plan of arrangement under the Ontario Business Corporations Act.
- Acted for Rogers Sugar Income Fund (the Fund) on the completion of a public offering of $50 million principal amount of 6.00% convertible unsecured subordinated debentures. The Fund is an open-ended, limited purpose trust holding all of the common shares of Rogers Sugar Ltd., the leading refiner, processor, distributor and marketer of sugar products in Western Canada, and Lantic Sugar Limited, one of two refiners in Eastern Canada.
- Acted on an offering of $900 million of 5% senior notes and an offering of US$300 million of 4.85% senior notes of Molson Coors Capital Finance ULC.
