Peter Mendell is a partner in the Corporate/Commercial, Cross-Border & International Transactions and Mergers & Acquisitions practices. From 1991 to 2000, Peter was the Managing Partner of the firm’s Montréal office and Co-Managing Partner of the firm’s international offices in Beijing, Hong Kong, New York, Paris and Singapore. Peter is co-chair of the firm’s China Practice Group and has strong business relationships in China.
Peter specializes in international commercial transactions, principally mergers, acquisitions and joint ventures. He has extensive experience leading major international mandates and assisting a large international clientele on five continents, with particular emphasis in Europe, Asia and the Americas.
Peter’s international practice has allowed him to acquire significant knowledge and experience dealing with a wide diversity of cultures. He has led or been involved in multi-jurisdictional transactions in more than 50 countries around the world.
Peter’s significant experience with numerous retailers includes assisting them with their global licensing and franchising operations.
Representative Work
- Led major multi-jurisdictional transactions, such as the acquisition by Australia-based Amcor Limited from Schmalbach-Lubeca of Ratingen, Germany, of 58 subsidiaries located in 26 countries, the acquisition by Amcor from Rexam Plc of London, England of 10 plants in seven countries and the US$2 billion acquisition by Amcor of Rio Tinto plc’s packaging operations in 31 countries, as well as the sale by Amcor to US-based Silgan Holdings Inc. of operations in 19 countries and the sale by Amcor to Spanish-based La Seda de Barcelona of operations in six countries.
- Represented Abitibi-Consolidated Inc. in the establishment of a US$1.4 billion Singapore-based joint venture with Norske Skog of Norway and Hansol Corporation of South Korea and the related acquisition by the joint venture of two newsprint mills in South Korea, one in Thailand and one in China.
- Has represented Montréal-based The Aldo Group Inc. since its creation, and advised it in connection with its licensing and franchising operations in over 45 countries around the world.
- Acted for Industrial and Commercial Bank of China Limited, a leading global bank headquartered in China, in its acquisition of a 70% interest in The Bank of East Asia (Canada), a Canadian chartered bank.
- Acted as Canadian counsel to India-based Tata Chemicals Limited in its acquisition of General Chemical Industrial Products Inc. in a transaction valued at US$1 billion, making Tata Chemicals one of the largest soda ash producers in the world.
- Acted for Abitibi-Consolidated Inc. in its merger of equals with Bowater Incorporated to create a company with a combined enterprise value of US$8 billion.
- Represented CGI Group Inc. in its creation of a jointly owned information technology services company by CGI Group Inc. and Canada Post Corporation (estimated revenues of approximately $3.5 billion over 10 years).
