Christian Gauthier is a partner practising corporate and securities law with a focus on mergers and acquisitions and corporate finance. He has been involved in a broad range of transactions, including the acquisition and disposition of public and private entities, public offerings of debt and equity, private placements and corporate reorganizations.
In the last two years, Christian has represented the following clients in connection with merger and acquisition transactions:
- BHP Billiton with its $284 million acquisition of Anglo Potash Ltd. pursuant to a plan of arrangement (July 2008);
- Jinchuan Group Ltd. with its $206 million take-over bid for Tyler Resources Inc. (March 2008);
- IPC US REIT's with its US$1.4 billion sale of substantially all of its assets to Behringer Harvard REIT I, Inc. and its subsequent wind-up (December 2007);
- Osprey Media Income Fund with its auction process and Quebecor Media Inc.'s $575.8 million take-over bid for Osprey Media, including the litigation relating to Black Press Ltd.'s superior proposal (August 2007);
- Dynatec Corporation and its Special Committee in connection with Sherritt International Corporation's $1.6 billion share-exchange acquisition of Dynatec pursuant to a plan of arrangement (June 2007);
- Fortis Inc. with its $3.7 billion acquisition of Terasen Inc. from Kinder Morgan, Inc., recognized as Canadian Dealmaker's 2007 Deal Team of the Year (May 2007);
- Catalyst Fund Limited Partnership I in connection with its sponsorship of Cable Satisfaction International Inc.'s CCAA reorganization and the €465 million sale of its subsidiary, Cabovisão-Televisão por Cabo, S.A., to Cogeco Cable Inc. (August 2006); and
- Minacs Worldwide Inc. and its Special Committee in connection with Transworks Information Systems Ltd.'s $196 million take-over bid for Minacs (August 2006).
Christian has also played a role in corporate finance transactions, including the filing of a US$500 million shelf prospectus for Agnico-Eagle Mines Limited, the issuance of senior subordinated notes on a U.S. SEC Rule 144A private placement basis (US$350 million) by Alimentation Couche-Tard Inc.'s and the public offering by Sudbury Contact of 2,760,000 common shares and 1,380,000 common share purchase warrants.

In 2005, Christian completed a six-month secondment to the Corporate Finance Branch of the Ontario Securities Commission.
Christian is a Special Lecturer in the Faculty of Law at Queen's University where he co-teaches a seminar on advanced corporate law. Christian received a B.B.A. (with Distinction) from Trinity Western University in 1995 and an LL.B. from the University of British Columbia in 2000. He became a partner in 2004.
Christian is fluent in English and French.
