Janet Ferrier
 
 
Janet Ferrier is a partner practising corporate/commercial law. Her practice covers a wide range of business transactions, concentrating on domestic and international business acquisitions and sales, mergers, joint ventures and corporate financing transactions in a variety of industries. While much of her practice is transactional, Janet also advises clients on more general business, such as licensing, outsourcing, supply and distribution agreements, partnership and shareholder arrangements, alliances and collaborations and general contractual and business matters.

Janet regularly handles asset and share sales, acquisitions and joint ventures, for both private and public corporations, domestic and cross-border. She has played a key role in numerous equity and debt financings, both small and large, including private investment, public offerings and secured financing arrangements, in which she has acted for corporations, private equity firms and other private investors, chartered banks and investment dealers. Her experience encompasses diverse financing transactions, from high-yield debt offerings, convertible debentures, warrant transactions, rights offerings and venture capital investment, to syndicated loans with Canadian and U.S. institutional lenders.

As part of her mergers and acquisitions practice, Janet also advises clients on pension matters, including negotiating pension plan transfers. In this area, Janet’s experience includes handling the pension plan transfer in the sale by Abitibi-Consolidated Inc. of a pulp mill to the newly-created SFK Pulp Fund income fund, and heading the review and negotiation of international pension and employee benefits matters for Amcor Ltd. in its acquisition of Rexam Plc’s healthcare flexibles packaging operations, involving 10 countries in Europe, North America, South America and Asia. She has also given seminars to clients on pension transfer issues in local and international asset and share acquisitions.

Janet has been recognized by the Canadian Legal LEXPERT Directory in the area of corporate mid market law.

Janet is a member of the Quebec and the Canadian Bar Associations, is coordinator of the Montréal office’s corporate/commercial practice group, chairs the firm’s career development committee and is a member of the firm’s student recruiting committee.

Janet has a B.A. in Creative Writing from Concordia University in Montréal. After several years in business as a writer and editor of computer manuals, she went on to obtain her B.C.L. and LL.B. from McGill University in 1995 and became a partner of the firm in 2001.
