Jeff MacKenzie is an associate in the Corporate/Commercial and Corporate Finance & Securities practices.

Since joining the firm as a student, Jeff has gained experience in a variety of transactions and reorganizations, including mergers and acquisitions, private placements, financings and securities offerings. Jeff also has experience in advising clients relating to continuous disclosure obligations and shareholder meetings.

Representative Work
  • Acted for Postmedia Network Inc. in the acquisition of the publishing business of Canwest LP under a sale proceeding conducted pursuant to the Companies' Creditors Arrangement Act. The assets included the largest publisher of English-language newspapers in Canada as well as an extensive portfolio of digital media and online assets. The aggregate enterprise value of the assets was estimated to be $1.1 billion. Also acted throughout the CCAA proceedings for an Ad Hoc Committee of Noteholders, comprised of 18 investment funds, which held the majority of Canwest LP's outstanding indebtedness and which provided a $250 million equity commitment to permit the acquisition.
  • Acted for Xstrata plc in its successful $24.1 billion takeover of Falconbridge Limited, the largest unsolicited takeover bid and the largest cash takeover bid in Canadian history.
  • Acted in Patheon Inc.'s asset sale of its Niagara-Burlington commercial manufacturing business.
Articles and Publications

Jeff is the co-author of the article "The Vendors and Purchasers Motion" published in the Ontario Bar Association's Remedies Fast Forward (2007). He is also the co-author of "The Role of the Lawyer in Submitting Requisitions" in Safeguarding Real Estate Transactions (2007) published by The Law Society of Upper Canada and the paper, "The Impact of Currie v. McDonald's on Defence Counsel in Class Proceedings" (2006) delivered at The Canadian Institute's 7th Annual National Forum on Litigating Class Actions.
