Natasha vandenHoven is a partner in the Pensions & Benefits, Trusts & Estates, Corporate Governance, and Taxation practices. Her practice focuses on pensions, benefits, executive compensation, employment, governance, fiduciary obligations, statutory duties, contracts, trusts, compliance and tax. In addition to advising clients on the numerous legal issues relating to pension, benefits and compensation plans, she also provides practical guidance on change of control agreements, employment contracts, and the maintenance and termination of the employment relationship.

Prior to joining Davies, Natasha held the roles of Senior Vice President, Research, Human Resources and Corporate Counsel at one of the leading global human capital and management consulting firms. In these roles, she managed the national human resources function and national research department, and oversaw all Canadian legal matters.

Natasha has also practised pensions, benefits, employment and labour law in private practice for four years and was a pension analyst with the Financial Services Commission of Ontario (formerly the Pension Commission of Ontario), where she reviewed pension plans and related activities to determine compliance with pension benefits legislation.

Representative Work
  • Acted as lead counsel to Australian-headquartered global packaging manufacturer, Amcor Limited, in its acquisition of Alcan Packaging operations from Rio Tinto plc in 31 countries for approximately US$2 billion. The acquisition enhances Amcor's position as one of the world's leading packaging companies.
  • Represented Osprey Media Income Fund on its acquisition by Quebecor Media Inc. in a transaction valued at approximately $578 million.
  • Represented TSX Group Inc. as it announced on December 10, 2007 that it and Montréal Exchange Inc. agreed to combine their organizations to create TMX Group Inc., a leading integrated exchange group in a deal valued at approximately $1.3 billion.
  • Represented InnVest Real Estate Investment Trust, in partnership with Cadbridge Investors LP, a joint venture entity between affiliates of Cadim Inc., a division of the Caisse de dépôt et placement du Québec, and Westmont Hospitality Group, as they announced a takeover bid for all of the outstanding units of Legacy Hotels Real Estate Investment Trust. The deal is valued at approximately $2.5 billion. Also represented InnVest REIT in connection with its public offering of approximately $270 million of subscription receipts and convertible debentures, the proceeds of which will partially fund InnVest REIT's portion of the takeover bid.
  • Represented Agricore United on its acquisition by Saskatchewan Wheat Pool, following a takeover battle with James Richardson International, in a deal valued at $1.8 billion. Agricore United, based in Winnipeg, Manitoba, is Western Canada's largest grain handling and merchandising company.
  • Advised Thomas H. Lee Partners, L.P. and Fidelity National Financial Inc. in connection with their $5.3 billion merger with Ceridian Corporation.
