Bonnie Roe is a partner in the Corporate Finance & Securities, Mergers & Acquisitions, Corporate/Commercial and Private Equity practices in New York. Her practice focuses on U.S. securities law and corporate finance, mergers and acquisitions, restructurings and corporate governance.

Bonnie represents publicly traded companies in a variety of transactions, including securities offerings, acquisitions, and complex financial structuring transactions. She represents both issuers and underwriters or placement agents in public and private U.S. and cross-border offerings of debt and equity. She provides advice on corporate governance and executive compensation. Bonnie's clients include U.S. and Canadian issuers, investment firms and privately held companies. She has counselled hedge funds, private equity funds, investment advisors, banks and insurance companies.

Bonnie was the Managing Editor of the NYU Journal of International Law and Politics from 1981 to 1982.

Bonnie is the author of the chapter on legal opinions in securities law transactions in M. John Sterba, editor, Legal Opinion Letters: A Comprehensive Guide to Opinion Letter Practice (3rd edition). She is also the author, with Marc Berger, of a model New York limited liability company agreement in Limited Liability Companies, Walter Schwidetsky, editor (forthcoming).
