Tim Baron is a partner in the Corporate Finance & Securities, the Corporate/Commercial and Structured Finance practices.  He specializes in corporate finance, investment funds, derivatives and domestic and off-shore structured finance.

Tim is regular counsel to various investment fund advisors and managers and has assisted with the establishment of numerous alternative investment funds, including hedge funds, fund of funds, exchange-traded funds and other investment vehicles.

Tim regularly advises financial intermediaries and end-users with respect to over-the-counter and exchange-traded derivatives, including structured fund products, equity derivatives, credit derivatives and financial product development.

In addition to advising lenders and borrowers on syndicated and asset-based lending facilities, Tim has advised numerous construction companies as well as sponsors and lenders on the financing of public-private infrastructure projects.

Representative Work
  • Represented Cascadia Forest Products Ltd. in its asset-based credit facility provided by CIT Business Credit.
  • Represented Diversified Global Asset Management Corporation in the structuring, establishment and the private placement of securities of off-shore alternative fund of funds and direct trading funds with assets under management in excess of US$3 billion.
  • Represented Plenary Group in connection with the multi-million dollar financing of the design, development, and construction of the MGS Data Centre in Guelph, Ontario.
  • Acted in respect of the financing by EdgeStone Capital Partners of its acquisition of all of the outstanding units of Stephenson's Rental Services Income Fund in a deal valued at approximately $134 million.
  • Represented Canada Lands Company Limited CLC in obtaining a $105 million Line of Credit Facility and an $85 million Senior Unsecured Revolving Credit Facility to finance the acquisition of Pensionfund Realty Limited's leasehold interest in the Metro Toronto Convention Centre Complex.
  • Represented Plenary Group in connection with the financing of its delivery of a new state-of-the-art headquarters for the Archives of Ontario. Plenary Group, in partnership with York University, will design, construct, finance and operate the facility for a period of 35 years.

Speaking Engagements

Tim has spoken at numerous conferences in the areas of investment funds, derivatives and lending. He was part of the "Super Panel Discussion: Maximizing the Opportunities Offered by Derivatives for Regulated Funds (Hedge Funds)" for the Canadian Institute's 3rd Annual Advanced Forum on Derivatives. Tim was part of the Canadian Institute's 4th Annual Advanced Forum on Derivatives where he was workshop leader, overseeing the discussion around "Mastering the Fundamentals of Derivatives".

Tim has spoken to the Osgoode Hall Law School of York University in The Intensive Course in Commercial Loan Finance and Security on the topic of "The Loan Transaction from A to Z". He was part of the panel at the 2008 World Alternative Investment Summit, which discussed the subject of "Setting up Offshore: Opportunities and Challenges".
