Jennifer Pankratz is a partner in the Corporate/Commercial, Mergers & Acquisitions, and Corporate Finance & Securities practices. She has worked on a variety of matters, including mergers and acquisitions, public offerings, private placements, asset and share purchases, bank financings, corporate reorganizations and other commercial transactions. Jennifer provides advice to publicly listed companies in connection with their ongoing securities law compliance obligations.
Representative Work
- Acted for Symmetry Holdings Inc. on its acquisition of Novamerican Steel Inc. in a transaction valued at US$585 million.
- Acted for Fortis Inc. in the financing of its $3.7 billion acquisition of Terasen Inc., the principal distributor of natural gas in British Columbia.
- Acted for BHP Billiton in its acquisition of the Guatemalan mining assets of Jaguar Nickel Inc. for a total consideration of $19 million, and its entry into exploration alliance agreements with Jaguar Nickel.
- Acted for Genus, the world’s leading bovine genetics company, in Canada in the financing of its all-cash acquisition of 63.2% of Sygen International valued at GBP 187 million.
- Acted for Wal-Mart Canada Realty Inc. and First Professional Realty Inc. as Calloway Real Estate Investment Trust completed the acquisition of retail space in 35 shopping centres from First Pro Shopping Centres (8 of which were co-owned with Wal-Mart Canada Realty Inc.) for approximately $1.12 billion in one of the largest transactions to date by a Canadian REIT.
- Acted for Sleep Country Canada Inc. as it completed a private placement of $40 million aggregate principal amount of 5.191% senior secured notes due 2010. CIBC World Markets Inc. acted as the sole agent for the private placement. The proceeds of the note issuance were used, in part, to refinance Sleep Country's $35.6 million bank term loan due April 15, 2006.
- Acted for Bain Capital as Yellow Pages Group (YPG), through Yellow Pages Income Fund, acquired Advertising Directory Solutions Inc. (ADS), Canada’s second-largest directory publisher. YPG purchased the business from an affiliate of Bain Capital for a purchase price of approximately $2.55 billion payable with cash at closing, subject to a deduction for indebtedness. The ADS operating company has been renamed Yellow Pages Inc./Pages Jaunes Inc.
