Our group integrates lawyers in all our offices with extensive experience in a wide variety of technology matters working in the areas of corporate, commercial, tax, corporate finance, securities, intellectual property, competition law and litigation.  We have broad experience in all aspects of financing and M&A transactions, from structuring through the due diligence process to completion of the transaction, in North America and around the world, as well as matters such as outsourcing, strategic alliances, licensing, joint ventures, privacy, e-commerce, intellectual property litigation and tax. 

Our experience working with technology companies in a wide variety of transactions and commercial and intellectual property matters enables us to quickly identify a client’s needs and provide effective and creative solutions.  Members of our technology practice group work closely with clients at all stages of their development, from entrepreneurial start-ups through to multinational public companies, to help them face the challenges of doing business in the rapidly changing technology industry.  We recognize that technology companies and transactions raise issues unique to their industry as well as requiring more traditional business law advice, and the lawyers in our technology group have the know-how to help clients navigate in both these areas.

We also advise non-technology based clients on technology-related issues and their dealings with technology companies, including matters such as outsourcing, privacy, licensing, electronic securities trading, electronic banking and electronic securities filings that are now having an impact on their businesses.

Our Work
We have represented large and small technology and telecommunications companies in a variety of transactions and litigation, including acting for:

• Celestica Inc. divested its Power Systems business, with operations in Canada, the United States, the People's Republic of China and Thailand, to C&D Technologies, Inc for US$52.8 million;

• Systemcorp A.L.G. Limited, a Montréal-based company, which is a leading provider of project portfolio management software, was acquired by IBM Canada Limited pursuant to a Plan of Arrangement under the Canada Business Corporations Act;

• Series of agreements between Bell Canada and Rev D Networks Inc. and a consortium of Canadian and American venture capital investors for the spinout of the Mediator softswitch technology;

• Creation of a new, jointly-owned information technology services company by CGI Group Inc. and Canada Post Corporation with expected revenues of approximately $3.5 billion over ten years;

• Oracle Corporation in the multi-million dollar cross-border acquisition of Steltor Corporation, a privately held electronic messaging software provider;

• AOL Time-Warner in its acquisition of InfoInteractive Inc. by way of plan of arrangement (approximately $35 million).
