Our Practice
Our Corporate Governance practice is cross-disciplinary and includes many of our most experienced practitioners.  We have worked closely with cross-listed clients in responding to evolving regulatory standards in a variety of jurisdictions and with Crown corporations and other public sector entities on their governance structures and processes.  Our practice has also taken us into complex succession planning for large private companies and into high level litigation and reputation management issues.

We have lawyers located in three of North America’s largest financial centres who have provided advice to firms in a variety of industries, including financial services, manufacturing, technology, conglomerates, and retail services.

We provide corporate governance advice in connection with:
  • Special committee mandates;
  • Conflict of interest policies, codes of conduct and procurement policies;
  • Capital market transactions, including IPOs, secondary offerings, going private transactions, related party transactions and takeover bids;
  • Business structures, such as joint ventures, partnerships and income trusts;
  • Litigation and reputation risk matters;
  • Disclosure issues; and
  • Board structure, succession planning and assessment.

One of our lawyers has a particular expertise in corporate governance and is recognized as a leading practitioner by Law Business Research's International Who's Who of Corporate Governance Lawyers. In 2010, Davies was awarded the Corporate Governance Excellence in Canada Award by Corporate INTL Magazine.

Organizational Leadership
Our firm has organized a series of seminars designed for our clients and contacts to update them on recent developments on secondary market disclosures found in Bill 198.

Many of our lawyers have written and published a number of papers, articles and commentaries on this topic and have also spoken widely in the area of corporate governance.

Carol Hansell, who leads our Corporate Governance practice, authored What Directors Need to Know: Corporate Governance, a resource for corporate directors, and Directors and Officers in Canada: Law and Practice, a loose-leaf service, and is a contributing editor to Corporate Governance, a quarterly journal published by Federated Press. She also served as a member of staff for The Toronto Stock Exchange's Committee on Corporate Governance in Canada and provided advice to the Joint Committee on Corporate Governance.
