Our experienced lawyers are at the forefront of financings and derivatives work in the Canadian and U.S. capital markets.  We have extensive experience in domestic and cross-border debt offerings, index notes, convertible and exchangeable structures, preferred share financings, equity derivatives (including forwards, options, swaps, and novel derivative instruments), asset securitization financings, and real and synthetic leases.  Working closely with our nationally-recognized corporate finance, securities and regulatory lawyers, we act for issuers and investors on offerings of tax-effective domestic and cross-border instruments for both the retail and institutional markets.  We are experienced in creating special purpose issuers for structured finance work and regularly advise on some of the most complex arrangements in North America.  In conjunction with our talented M&A and banking lawyers, we regularly structure tax-effective domestic and cross-border financings for all manner of public and private company asset and share acquisitions.

Below is a brief list of some of the financings and derivatives matters on which we have recently acted:

  • Secondary offering of $77.8 million of convertible subordinated debentures of InnVest REIT;
  • Public offering in the U.S. and Canada of $62 million of common shares of Neurochem Inc.;
  • Redemption of $95.6 million of Series 4 Exchangeable Preferred Shares and forward sale of the underlying common shares of Dofasco Inc. to Scotia Capital Inc., National Bank Financial Inc. and CIBC World Markets Inc.;
  • Acquisition of Masonite Corporation from International Paper Company (US$500 million) and the establishment of a US$685 million syndicated term and revolving credit facilities and the private placement of US$202.5 million of junior subordinated notes of Premdor Inc.
