The firm has extensive experience in domestic and cross-border corporate reorganizations and restructurings, including corporate "spin-offs" and "split-ups", going-private transactions, going-public transactions, conversions to income trusts and reorganizations and restructurings related to refinancing solvent and insolvent corporations.  With our multi-jurisdictional tax expertise and market-leading corporate and M&A practice, we are particularly well qualified to provide seamless, sophisticated Canadian and U.S. tax advice to multinational enterprises based inside and outside North America on cross-border corporate reorganizations and restructurings.

The following small sampling of recent transactions illustrates the scope of our practice:

  • Reorganization of the ownership structure of Maple Leafs Sports & Entertainment Ltd;
  • Initial public offering of $135 million of units by Sleep Country Canada Income Fund;
  • Plan of arrangement and reorganization under the Companies’ Creditors Arrangement Act (Canada) and the Companies Act (Quebec), including a $47.4 million investment of capital by Soquem Inc. and Soquémex Inc., Sodémex II, s.e.c., the Fonds de solidarité des travailleurs du Québec (FTQ), Investissement Québec and Economic Development of Canada;
  • Combination of interests of Bell Intrigna and Bell Nexxia to create Bell West Inc.;
  • Initial public offering of $444 million of trust units of SFK Pulp Fund and $125 million credit facility in favour of the Fund;
  • Restructuring of Cineplex Odeon Corporation under the Companies' Creditors Arrangement Act.
