Investment Funds
 
 
Our tax lawyers regularly advise on the structuring of the wide variety of investment funds offered in North America and in the international capital markets, including classic mutual funds, REITs, income trusts, investment limited partnerships, index funds, structured financial products, securitization trusts and derivative securities structures.  We have particular expertise in designing Canadian securities to be offered in the U.S. capital markets and U.S. securities to be offered in the Canadian capital markets.  Working closely with our nationally recognized corporate finance, securities, trusts and regulatory practitioners, we offer comprehensive, leading-edge advice on all aspects of investment funds to issuers and underwriters.  We are frequently consulted by industry associations for advice on technical and policy matters related to investment funds and for the preparation of submissions to tax authorities and regulatory bodies on major issues affecting the industry. 

We designed the first U.S. REIT structure and first U.S. bond repo fund suitable for investment by both taxable and non-taxable Canadian investors.  We advised on the design of the Canada Housing Trust, which is the largest securitization entity in Canada offering its securities in many foreign jurisdictions.  The following is a brief list of some of our other recent investment funds engagements:

  • Establishment of the $150 million Callisto Capital LP private equity fund;
  • Public offering of $40 million of flow-through limited partnership units of MRF 2003 II Resource Limited Partnership;
  • Investment in Catalyst Fund Limited Partnership I, an activist distressed investment fund;
  • Formation of the $526 million TD Capital Private Equity Investors fund-of-fund;
  • $300 million initial public offering of units of InnVest Real Estate Investment Trust and the acquisition of a portfolio of 114 hotels located throughout Canada.
