Securities Litigation
 
 
Our litigators have extensive experience in securities litigation, including proceedings before the Ontario Securities Commission (“OSC”) and all levels of the courts including the Commercial List.  Our strength in this area is reinforced by the expertise of our renowned corporate-securities group with whom we work closely on all aspects of litigation including strategy, preparation for litigation and resolution of threatened enforcement proceedings.  We have considerable experience in all aspects of take-over bid litigation, including injunctions, poison pill proceedings and oppression actions.  Also, on numerous occasions, we have been successful in resolving proceedings threatened by the OSC against our clients without charges being laid.

The extent of our practice and breadth of our expertise in securities litigation is best illustrated by a sampling of our recent cases:

  • Acting for Caisse de dépôt et placement du Québec in litigation relating to its successful take-over bid for a Québec cable company;
  • Defending executives and employees in several proceedings brought by The Toronto Stock Exchange concerning stock market manipulation charges;
  • Representing Onex Corporation in various litigation arising from its attempted take-over of Air Canada;
  • Representing Pacifica Papers Inc. in an oppression action brought by its largest shareholder;
  • Representing Shaw Communications in litigation concerning white knight bidders in a hostile take-over bid context;
  • Advising special committees of boards of directors of companies in relation to take-over bids and other matters, including Teleglobe Communications Corp.;
  • Representing a director of RT Capital in proceedings brought by the Ontario Securities Commission in relation to alleged high-closing activity.
