AMIS Holdings, Inc. acquired substantially all of the assets and certain liabilities of Dspfactory Ltd., including the shares of its Swiss subsidiary, dspfactory SA, for cash and stock valued at approx. CDN$61 million. Dspfactory also received the right to receive an additional U.S.$8.5 million in stock upon achievement of certain milestones before the end of 2006.
