A small sampling of the matters that our corporate/commercial lawyers have handled recently includes the following:
• Davies represented Scion Capital, the largest shareholder in Bolivar Gold Corp., in its opposition to the acquisition of Bolivar Gold Corp. by Gold Fields Limited;
• Davies represented CIBC World Markets, Scotia Capital Inc. and a syndicate of underwriters in the $205 million IPO of Crombie REIT. Davies provided corporate finance and securities, real estate, tax and environmental advice;
• Davies acted for Decision Resources, Inc., one of the world’s leading research and advisory firms focusing on pharmaceutical and healthcare industry insight and analysis, in its acquisition of Millennium Research Group Inc., the global authority on medical technology market intelligence;
• Davies acted for Celestica Inc. in the announced acquisition by a wholly-owned subsidiary of the Philippine manufacturing operation of Powerwave Technologies, Inc., a global provider of wireless infrastructure solutions. In connection with the acquisition, Celestica and Powerwave will enter into a multi-year supply agreement that will see Celestica becoming Powerwave's preferred outsourcing partner;
• Davies acted for Man Financial Canada, Ltd., an affiliate of Man Financial Inc., in its acquisition of all of the outstanding shares of Refco Canada Co. The transaction was completed pursuant to an agreement between Man Financial Inc. and Refco Inc. in which Man Financial Inc. agreed to acquire substantially all of the worldwide assets of Refco Inc. for an aggregate purchase price of US$282 million;
• Davies acted for the Ontario Lottery and Gaming Corporation in the development, financing and operation of the Niagara Falls Casino Complex/Gateway Project (approximately $1 billion).
